VEUILLEZ LIRE ATTENTIVEMENT CE DOCUMENT. VOUS DEVEZ ACCEPTER LES
TERMES DE CET ACCORD AVANT DE TELECHARGER LE LOGICIEL SUR
INTERNET.

Ceci représente l’accord de licence légal passé entre vous et
Creative Technology Ltd. et ses filiales (« Creative »).  Cet
accord contient les termes et conditions selon lesquels Creative
concède un droit de licence sur les logiciels téléchargeables sur
ce site Internet ou les éléments les accompagnant, ainsi que sur
la documentation écrite (ci-après nommé « logiciel », le terme
« logiciel » incluant les programmes exécutables, pilotes,
bibliothèques et fichiers de données associés à ces programmes,
mais n’étant pas limité à ceux-ci).

LICENCE
1.  Octroi de la licence.
     Tous les logiciels inclus vous sont concédés sous licence,
     et non pas vendus, pour un emploi respectant les termes de cet
     accord.  Cet accord de licence constitue la preuve d’achat de
     la licence vous concédant les droits décrits par le présent
     document et doit par conséquent être conservé soigneusement.
     Conformément à l’accord signé avec la compagnie (ou avec ses
     concédants de licence, le cas échéant), Creative reste l’unique
     propriétaire et ayant droit du logiciel et se réserve tous les
     droits qui ne vous sont pas explicitement concédés par cet
     accord. Creative vous concède le droit d’utiliser le logiciel
     dans son intégralité ou en partie, sous réserve que :
     (a)  le logiciel ne soit pas diffusé dans un but lucratif ;
     (b)  le logiciel ne soit utilisé qu’avec les gammes de
           produits Creative ;
     (c)  le logiciel ne soit PAS modifié ;
     (d)  toutes les informations concernant le copyright soient
           présentes sur le logiciel.

2.  Pour une utilisation sur un seul ordinateur
     Le logiciel ne peut être utilisé que sur un seul ordinateur et
     par un seul utilisateur à la fois.  Vous êtes autorisé à
     transférer la partie assimilable du logiciel d’un ordinateur à
     un autre, sous réserve que :
     (a)  le logiciel (y compris toute copie ou partie) soit effacé
           du premier ordinateur et
     (b)  il n’y ait aucune possibilité que le logiciel soit utilisé
           sur plus d’un ordinateur à la fois.

3.  Utilisation autonome
     Vous pouvez utiliser le logiciel uniquement de manière
     autonome afin que le logiciel et ses fonctions ne soient
     accessibles qu’aux personnes se trouvant physiquement devant
     l’ordinateur sur lequel le logiciel est installé.  Vous n’êtes
     pas autorisé à donner accès au logiciel ni à ses fonctions à un
     utilisateur distant, ni à transmettre tout ou partie du
     logiciel par l’intermédiaire d’un réseau ou d’une ligne de
     communication quelle qu’elle soit.

4.  Copyright
     Le logiciel est la propriété de Creative et fait l’objet d’une
     protection par les lois du copyright des Etats-Unis et par les
     provisions de traités internationaux. Vous n’êtes pas autorisé
     à retirer les informations de copyright de toute copie du
     logiciel ou, le cas échéant, de toute copie de la documentation
     l’accompagnant.

5.  Copie d’archivage
     Vous êtes autorisé à effectuer une (1) copie de la partie
     assimilable du logiciel à des fins d’archivage pour votre
     propre utilisation sur un seul ordinateur, à condition que vous
     fassiez figurer sur la copie le copyright en entier ainsi que
     les autres notes de propriété se trouvant sur l’original.
  
6.  Aucune fusion ni intégration
     Il est interdit de fusionner ou d’intégrer quelque partie
     du logiciel que ce soit avec un autre programme, sauf si la
     législation de votre pays le permet de manière explicite. Toute
     partie du logiciel éventuellement fusionnée ou intégrée avec un
     autre programme est également soumise aux termes et aux
     conditions de cet accord. De plus, vous devez faire figurer sur
     la copie l’intégralité du copyright ainsi que les autres notes
     de propriété se trouvant sur l’original.

7.  Version réseau
     Si vous avez acquis une version réseau du logiciel, ce
     contrat de licence s’applique à l’installation du logiciel sur
     un « serveur de fichiers » unique.  Il est interdit de le
     copier sur plusieurs systèmes. Chaque « noeud » connecté au
     « serveur de fichiers » doit disposer d’une « copie noeud » du
     logiciel, faisant l’objet d’une licence spécifique à ce
     « noeud ».

8.  Transfert de la licence
     Il est interdit de transférer la licence du logiciel à un
     tiers.

9.  Limites sur l’utilisation, la copie et la modification du logiciel
     Excepté dans les limites permises expressément par cet
     accord ou par la loi du pays dans lequel vous avez fait l’achat
     du logiciel, il est interdit d’utiliser, de copier ou de
     modifier le logiciel. Il est également interdit d’accorder une
     sous-licence des droits que vous concède cet accord. Vous
     pouvez utiliser ce logiciel à titre privé dans le cercle
     familial. Il ne peut toutefois en aucun cas être utilisé en
     public ou servir à la création de cassettes vidéo qui feront
     l’objet d’une projection publique.

10. Décompilation, désassemblage et ingénierie inverse
      Vous reconnaissez que ce logiciel contient des secrets
      commerciaux et autres informations appartenant à Creative ou à
      ses licenceurs. Excepté dans les limites permises expressément
      par cet accord ou par la loi du pays dans lequel vous avez fait
      l’achat du logiciel, il est interdit de décompiler et de
      désassembler le logiciel, de l’inclure dans un procédé
      d’ingénierie inverse ou tout type d’activités visant à obtenir
      des informations sous-jacentes, inaccessibles à l’utilisateur
      dans le cadre d’une utilisation normale du logiciel.
  
      En vertu de cette clause, vous acceptez de ne jamais
      transmettre le logiciel ou d’afficher le code objet du logiciel
      sur un écran d’ordinateur ou encore de créer des copies de
      clichés mémoire du code objet du logiciel. Si vous pensez avoir
      besoin de plus d’informations concernant l’interopérabilité du
      logiciel avec d’autres programmes, vous n’êtes pas autorisés à
      décompiler ou désassembler le logiciel pour obtenir ces
      informations et vous devez les demander auprès de Creative à
      l’adresse indiquée ci-dessous.  Après examen de votre demande,
      Creative déterminera si cette information vous est nécessaire,
      et dans ce cas, vous la fournira dans les meilleurs délais et
      conditions.
  
      Dans tous les cas, il est de votre devoir de transmettre à
      Creative toute information dérivée du logiciel par le biais
      d’ingénierie inversée ou de toute activité similaire, et les
      données ainsi collectées seront traitées en tant
      qu’informations confidentielles par Creative et ne pourront
      être utilisées qu’en connexion avec le logiciel.
 
11. Conditions d’utilisation de Gracenote(R) CDDB(R)
      Cette application peut contenir un logiciel de Gracenote,
      Inc. d’Emeryville, Californie (« Gracenote »). Le logiciel de
      Gracenote (le « client Gracenote ») permet à cette application
      d’effectuer une identification de disque et fichier de musique
      en ligne et d’obtenir des informations concernant la musique, y
      compris le nom, l’artiste, la piste et le titre du morceau
      (« données Gracenote ») à partir de serveurs en ligne
      (« serveurs Gracenote ») et d’effectuer d’autres fonctions.
      Vous n’êtes autorisé à utiliser les données Gracenote que dans
      le cadre des fonctions de l’utilisateur final du logiciel
      d’application.
  
      Vous reconnaissez et acceptez que Creative ne s’engage, 
      ne représente ni ne garantit, de façon expresse ou implicite, 
      la disposition, la continuité de la disposition et/ou l’utilisation du 
      client Gracenote, des données Gracenote ou du serveur Gracenote 
      ou des éléments qui y sont liés. Vous acceptez en particulier que 
      Creative ne garantit pas l’accès aux services Gracenote par les 
      termes de cet accord. 

      Vous reconnaissez et acceptez par ailleurs que Creative ne doit 
      pas être tenu responsable, directement ou indirectement, de tout 
      dommage ou perte causés par ou présumés être causés par ou en 
      connexion avec l’utilisation ou l’incapacité d’utiliser le client Gracenote, 
      les données Gracenotel, le serveur Gracenote ou les éléments qui 
      y sont liés.

      Vous acceptez d’utiliser les données Gracenote, le client
      Gracenote et les serveurs Gracenote dans un but uniquement
      personnel et non commercial. Vous acceptez de ne pas attribuer,
      copier, transférer ou transmettre le client Gracenote ou toute
      donnée Gracenote (à l’exception d’une balise associée à un
      fichier de musique) à un tiers. VOUS ACCEPTEZ DE NE PAS
      UTILISER OU EXPLOITER DES DONNEES GRACENOTE, LE CLIENT
      GRACENOTE OU LES SERVEURS GRACENOTE, SAUF AUTORISATION 
      EXPRESSE MENTIONNEE DANS LE PRESENT DOCUMENT.
  
      Vous acceptez la résiliation de votre licence non exclusive
      d’utiliser les données Gracenote, le client Gracenote et les
      serveurs Gracenote en cas de violation de ces restrictions. En
      cas de résiliation, vous acceptez de cesser toute utilisation
      des données Gracenote, du client Gracenote et des serveurs
      Gracenote. Gracenote se réserve tous les droits concernant les
      données Gracenote, le client Gracenote et les serveurs
      Gracenote, y compris tous les droits de propriété. En aucun
      cas, Gracenote ne sera dans l’obligation de vous payer toute
      information que vous fournissez, y compris des informations
      relatives aux fichiers de musique. Vous acceptez que Gracenote
      puisse faire appliquer ses droits sous cet accord à votre
      encontre, directement en son propre nom.
  
      Le Service Gracenote utilise un identificateur unique pour
      rechercher des requêtes à utiliser pour des statistiques. Le
      but d’assigner au hasard un identificateur unique est de
      permettre au service Gracenote de compter les requêtes sans ne
      rien savoir sur vous. Pour plus d’informations, visitez la page
      Web à l’adresse www.gracenote.com pour consulter la Politique
      de confidentialité Gracenote (Gracenote Privacy Policy) pour le
      service Gracenote concerné.
  
      Le client Gracenote et chaque élément des données Gracenote
      sont licenciés « EN L’ETAT ». Gracenote ne fait aucune
      garantie, expresse ou implicite, concernant la précision des
      données Gracenote des serveurs Gracenote. Gracenote se réserve
      le droit de supprimer des données des serveurs Gracenote ou de
      modifier des catégories de données pour toute raison que
      Gracenote estime suffisante. Aucune garantie ne vous est donnée
      que le client Gracenote ou les serveurs Gracenote ne comportent
      pas de défauts ou que leur fonctionnement sera ininterrompu.
      Gracenote n’est pas tenu de vous fournir tout nouveau type ou
      catégorie de données améliorées ou supplémentaires que
      Gracenote peut choisir de fournir à l’avenir et est libre
      d’interrompre ses services en ligne à tout moment. GRACENOTE
      REFUSE TOUTE GARANTIE, EXPRESSE OU IMPLICITE, Y COMPRIS, SANS
      QUE CETTE ENUMERATION NE SOIT LIMITATIVE, DES GARANTIES
      IMPLICITES DE COMMERCIABILITE, D’ADEQUATION A UN BUT
      PARTICULIER, DE TITRE ET DE NON-VIOLATION. Gracenote ne
      garantit pas les résultats obtenus par l’utilisation du client
      Gracenote ou de tout serveur Gracenote. EN AUCUN CAS GRACENOTE
      NE PEUT ETRE TENU RESPONSABLE DE TOUT DOMMAGE INDIRECT OU
      ACCESSOIRE OU DE TOUTE PERTE DE PROFITS OU DE BENEFICES.

12. RESILIATION
      La licence qui vous est concédée est effective jusqu’à sa
      résiliation. Vous pouvez la résilier à tout moment en
      détruisant le logiciel (y compris toute copie ou partie) en
      votre possession ou sous votre contrôle. La licence sera
      igalement résiliée sans préavis de la part de Creative si vous
      ne respectez pas les termes et conditions de cet accord. En cas
      de résiliation, vous vous engagez à détruire le logiciel (y
      compris toute copie ou partie). Lors d’une résiliation,
      Creative peut également engager toute poursuite légale prévue
      par la loi. Cet accord protège les droits de propriété de
      Creative même après la résiliation de l’accord.

13. LIMITATION DE GARANTIE
      VOUS UTILISEZ CE LOGICIEL A VOS PROPRES RISQUES. LE
      LOGICIEL A ETE DEVELOPPE POUR UNE UTILISATION AVEC LE MATERIEL
      ET LES LOGICIELS CREATIVE EXCLUSIVEMENT. LE LOGICIEL EST FOURNI
      « EN L’ETAT » ET SANS AUCUNE GARANTIE D’AUCUNE SORTE. DANS LES
      LIMITES PERMISES PAR LA LOI, CREATIVE REJETTE TOUTES LES
      GARANTIES, EXPRESSES OU TACITES, Y COMPRIS, NOTAMMENT, TOUTE
      GARANTIE OU CONDITION TACITE DE QUALITE MARCHANDE, DE QUALITE
      D’ADEQUATION A UN USAGE PARTICULIER, TITRE OU NON-VIOLATION.
      CREATIVE N’EST PAS TENU DE FOURNIR DES MISES À JOUR OU DES
      MISES A NIVEAU POUR LE LOGICIEL
  
      Aucun distributeur, revendeur ni aucune autre personne
      n’est autorisé(e) à étendre ou modifier cette garantie ou toute
      autre provision du présent accord. Creative ne garantit pas que
      les fonctions contenues dans ce logiciel répondent à vos
      besoins ni que son fonctionnement sera ininterrompu ou sans
      erreur et exempt de code malicieux. Dans le cadre de ce
      paragraphe, on entend par « code malicieux » tout code de
      programme conçu pour venir nuire à des programmes ou des
      données informatiques, consommer des ressources de
      l’ordinateur, modifier, détruire, enregistrer ou transmettre
      des données de toute façon usurpant le fonctionnement normal de
      l’ordinateur, du système informatique ou du réseau
      informatique, y compris les virus, les chevaux de Troie, les
      programmes effaçant des données ou les données en mémoire, les
      bombes logiques et les programmes similaires.
  
      Aucune sorte de représentation, autre que les garanties
      énoncées dans cet accord, ne saurait engager Creative.  En tant
      qu’utilisateur, vous êtes entièrement responsable du choix du
      logiciel pour obtenir les résultats escomptés, du
      téléchargement, de l’utilisation et des performances du
      logiciel. Vous assumez également l’entière responsabilité quant
      à la qualité et aux performances du logiciel. Si le logiciel
      s’avère défectueux, le coût total résultant de toute réparation
      ou correction nécessaire sera à votre charge (et non pas à
      celle de Creative, de ses distributeurs ou revendeurs).
  
      De plus, Creative ne pourra pas être tenu responsable de
      l’exactitude des informations fournies par Creative ou par le
      personnel du service d’assistance technique tiers ou des
      dommages causés, directement ou indirectement par les actions
      ou les omissions que vous aurez effectuées à la suite des
      recommandations données par le personnel du service
      d’assistance technique tiers.
  
      La présente garantie vous concède des droits spécifiques
      reconnus par la loi ; des droits supplémentaires peuvent
      cependant vous être accordés selon votre pays de résidence.
      Certaines législations interdisent l’exclusion de garanties
      implicites ; si vous êtes dans ce cas, l’exclusion ci-dessus ne
      sera pas prise en considération. Creative n’accorde aucune
      garantie si le logiciel a été personnalisé, reconstitué ou
      modifié de quelque manière que ce soit, par un tiers autre que
      Creative.

14. EXCLUSION DE DOMMAGES : LIMITATION DE RESPONSABILITE
      CREATIVE OU SES CONCEDANTS DE LICENCES NE POURRONT EN AUCUN 
      CAS ETRE TENUS RESPONSABLES D’UN QUELCONQUE PREJUDICE, Y 
      COMPRIS NOTAMMENT LES PREJUDICES ACCESSOIRES, INDIRECTS, 
      SPECIAUX OU CONSECUTIFS, LES BLESSURES CORPORELLES (Y COMPRIS 
      LA MORT), DONT SERAIT VICTIME UNE PERSONNE ET AYANT ETE CAUSE 
      PAR LA NEGLIGENCE DE CREATIVE OU DE TOUT MANQUE A GAGNER, 
      INTERRUPTION DES AFFAIRES, PERTE D’INFORMATIONS OU TOUTE 
      AUTRE FORME DE PERTE FINANCIERE DECOULANT DE L’UTILISATION OU 
      DE L’INAPTITUDE A UTILISER LE LOGICIEL, MEME SI CREATIVE OU SES 
      CONCEDANTS DE LICENCES ONT ETE INFORMES DE LA POSSIBILITE DE 
      TELS PREJUDICES. EN AUCUN CAS, CREATIVE NE VERSERA UN MONTANT 
      SUPERIEUR A LA SOMME QUE VOUS AVEZ PAYEE POUR L’UTILISATION DU 
      LOGICIEL, EN REMBOURSEMENT DE DOMMAGES, QUELLE QUE SOIT LA 
      FORME DE LA RECLAMATION. L’EXCLUSION OU LA LIMITATION DE 
      RESPONSABILITE POUR DOMMAGES CONSECUTIFS OU ACCESSOIRES 
      N’ETANT PAS RECONNUES DANS CERTAINS ETATS/PAYS, LES 
      LIMITATIONS DE GARANTIES PRESENTEES CI-DESSUS PEUVENT NE PAS 
      S’APPLIQUER A VOTRE CAS.

15. INDEMNISATION PAR LE LICENCIE/L’UTILISATEUR FINAL
      Si vous distribuez le Logiciel en violation du présent
      Contrat, vous vous engagez par les présentes à indemniser, à
      dégager Creative de toute responsabilité et à défendre Creative
      en cas de réclamations ou de poursuites judiciaires, y compris
      pour les frais d’avocat et les coûts survenant, résultant de ou
      liés à l’utilisation ou la distribution du Logiciel en
      violation du présent Contrat.

16. RESTRICTION DU GOUVERNEMENT DES ETATS-UNIS
      Le logiciel et la documentation sont accompagnés de droits
      limités. L’utilisation, la duplication et la divulgation des
      informations par le gouvernement des Etats-Unis sont soumises
      aux restrictions énoncées dans le sous-paragraphe (b)(3)(ii) de
      la section 252.227-7013 de la clause sur les droits relatifs
      aux logiciels et aux données techniques (Rights in Technical
      Data and Computer Software Clause). Si vous accordez une sous-
      licence ou si vous utilisez le logiciel à l’extérieur des Etats-
      Unis, vous devez observer la législation applicable de votre
      pays, la loi américaine sur le contrôle des exportations ainsi
      que la version en langue anglaise de cet accord.

17. CONTRACTANT/FABRICANT

18. DISPOSITIONS GENERALES
      Cet accord lie également vos employés, employeurs,
      entrepreneurs et agents ainsi que tout successeur ou
      ecessionnaire. Il est interdit d’exporter le logiciel ou toute
      information qui en est dérivée, sauf là où la loi des Etats-
      Unis ou toute autre disposition le permet. Cet accord est régi
      par la législation en vigueur dans l’état de Californie (à
      l’exception des lois fédérales concernant les droits d’auteur
      et les marques déposées). Le présent Contrat constitue
      l’intégralité de l’accord entre nous et vous reconnaissez que
      la responsabilité de Creative ne pourra être engagée en cas de
      fausse déclaration, de sa part, de la part de ses agents ou de
      quiconque (que ce soit en toute bonne foi ou suite à une
      négligence), sur laquelle vous vous êtes basé lors de la
      conclusion du présent Contrat, sauf s’il s’agit d’une
      déclaration frauduleuse. Le présent Contrat remplace tout autre
      accord ou entente, y compris, notamment, toute publicité
      relative au Logiciel.
  
      Si une clause de ce contrat est déclarée non valide par un
      tribunal judiciaire compétent, cette clause sera modifiée de
      manière à la rendre valide et applicable et n’affectera en
      aucun cas la validité des autres dispositions.
  
      Si vous avez des questions au sujet de cet accord, veuillez
      contacter Creative à l’adresse ci-dessus.  Si vous avez des
      questions sur le produit ou son caractère technique, contactez
      le centre de support technique Creative le plus proche.
  
      Cet emballage peut comprendre un logiciel doté d’une
      fonctionnalité DVD-Audio vous permettant de lire des disques
      DVD-audio dont le contenu est protégé. La fonctionnalité de ce
      Logiciel peut être perdue si le système de protection du
      contenu est compromis. Le cas échéant, le seul moyen de
      restaurer cette fonctionnalité est de télécharger une mise à
      jour de produit à partir du site Web de Creative.

ADDENDUM AU CONTRAT DE LICENCE DU LOGICIEL MICROSOFT

IMPORTANT : En utilisant les fichiers du logiciel Microsoft ( le
« Logiciel Microsoft ») fournis avec cet Addendum, vous
reconnaissez être lié par les termes suivants. Si vous êtes en
désaccord avec ceux-ci, vous n’êtes pas autorisé à utiliser le
Logiciel Microsoft.

Le Logiciel Microsoft est fourni à la seule fin de remplacer les
fichiers correspondants fournis avec une copie du logiciel
Microsoft (le « PRODUIT D’ORIGINE ») vendu sous une précédente
licence. Une fois installés, les fichiers du Logiciel Microsoft
font partie intégrante du PRODUIT D’ORIGINE et sont soumis aux
mêmes termes et conditions de licence et de garantie que le
PRODUIT D’ORIGINE. Si vous ne détenez pas de licence valable pour
utiliser le PRODUIT D’ORIGINE, vous ne pouvez pas exploiter le
Logiciel Microsoft. Toute autre utilisation du Logiciel Microsoft
est interdite.

Aucun élément du présent Contrat ne sera interprété, au nom de
Creative, comme préconisant ou autorisant une infraction aux lois
locales et/ou internationales applicables à votre juridiction.


ADDENDUM DRM A L’ACCORD WMFSDK9 DE MICROSOFT
==================================================
Les fournisseurs de contenu utilisent la technologie de gestion
des droits numériques de Microsoft pour Windows Media (« WM-
DRM ») afin de protéger l’intégrité de leur contenu (« contenu
sécurisé ») et empêcher que leur propriété intellectuelle, y
compris les droits d’auteur sur ce contenu, ne soit détournée.
Des parties de ce logiciel et d’autres applications de tiers
(« logiciel WM-DRM ») utilisent WM-DRM pour transférer ou
diffuser un contenu sécurisé (« logiciel WM-DRM »). Si la
sécurité du logiciel WM-DRM a été affectée, les propriétaires de
contenu sécurisé (« propriétaires de contenu sécurisé ») peuvent
demander que Microsoft retire le droit du logiciel WM-DRM de
copier, d’afficher, de transférer et/ou de diffuser le contenu
sécurisé.  Cette révocation ne modifie en rien la capacité du
logiciel WM-DRM à lire le contenu non protégé. Une liste des
logiciels WM-DRM révoqués est envoyée à votre ordinateur chaque
fois que vous téléchargez une licence pour un contenu sécurisé
sur Internet. Microsoft peut, dans le cadre d’une telle licence,
également télécharger des listes de révocation sur votre
ordinateur au nom des propriétaires de contenu sécurisé. Les
propriétaires de contenu sécurisé peuvent également exiger que
vous mettiez à niveau certains des composants WM-DRM distribués
avec ce logiciel (« mises à niveau WM-DRM ») avant de pouvoir
accéder à leur contenu. Lorsque vous tentez de lire un tel
contenu, le logiciel WM-DRM développé par Microsoft vous avertit
qu’une mise à niveau WM-DRM est requise, puis vous demande votre
autorisation avant de télécharger cette mise à niveau WM-DRM. Les
logiciels WM-DRM utilisés par les tiers sont susceptibles d’agir
de la même façon. Si vous refusez de procéder à la mise à niveau,
vous ne pourrez pas accéder au contenu qui requiert la mise à
niveau WM-DRM ; toutefois, vous pourrez continuer à accéder à du
contenu non protégé et à du contenu protégé ne nécessitant pas la
mise à niveau.

d’informations concernant l’interopérabilité du logiciel avec
d’autres programmes, vous n’êtes pas autorisés à décompiler ou
désassembler le logiciel pour obtenir ces informations et vous

dessus. Après examen de votre demande, Creative déterminera si

Droits statutaires
La loi irlandaise stipule que certaines conditions et garanties

                     Version 2.9, September 2006

PLEASE READ THIS DOCUMENT CAREFULLY. YOU HAVE AGREED TO THE
TERMS OF THIS AGREEMENT BEFORE DOWNLOADING THE SOFTWARE 
FROM THE INTERNET.  

This is a legal agreement between you and Creative Technology Ltd 
and its subsidiaries ("Creative").  This Agreement states the 
terms and conditions upon which Creative offers to license the 
software downloaded from this website together with all related 
documentation and accompanying items including, but not 
limited to, the executable programs, drivers, libraries and data 
files associated with such programs (collectively, the "Software").

LICENSE
1.  Grant of License
     The Software is licensed, not sold, to you for use only under 
     the terms of this Agreement.  This License Agreement is your 
     proof of license to exercise the rights granted herein and 
     must be retained by you. As between you and  Creative (and, 
     to the extent applicable, its licensors), Creative retains all 
     title to and ownership of the Software and reserves all rights 
     not expressly granted  to you.
     Creative grants to you the right to use all or a portion of 
     this Software provided that 
     (a) the Software is not distributed for profit;
     (b) the Software is used only in conjunction with Creative's 
          family of products; 
     (c) the Software may NOT be modified; and
     (d) all copyright notices are maintained on the Software.

2.  For Use on a Single Computer 
     The Software may be used only on a single computer by a single 
     user at any time.  You may transfer the machine-readable 
     portion of the Software from one computer to another computer, 
     provided that 
     (a) the Software (including any portion or copy thereof) is 
          erased from the first computer, and 
     (b) there is no possibility that the Software will be used on 
          more than one computer at a time.

3.  Stand-Alone Basis 
     You may use the Software only on a stand-alone basis, such 
     that the Software and the functions it provides are accessible 
     only to persons who are physically present at  the location of 
     the computer on which the Software is loaded.  You may not 
     allow the Software or its functions to be accessed remotely, 
     or transmit all or any portion of the Software through any 
     network or communication line.

4.  Copyright 
     The Software is owned by Creative and/or its licensors, and is 
     protected by United States copyright laws and international 
     treaty provisions. You may not remove the copyright notice 
     from any copy of the Software or any copy of the written 
     materials, if any, accompanying the Software.

5.  One Archival Copy 
     You may make one (1) archival copy of the machine-readable 
     portion of the Software for backup purposes only in support of 
     your use of the Software on a single computer, provided that 
     you reproduce on the copy all copyright and other proprietary 
     rights notices included on the originals of the Software.

6.  No Merger or Integration 
     You may not merge any portion of the Software into, or 
     integrate any portion of the Software with, any other program, 
     except to the extent expressly permitted by the laws of the 
     jurisdiction where you are located. Any portion of the 
     Software merged into or integrated with another program, 
     if any, will continue to be subject to the terms and 
     conditions of this Agreement, and you must reproduce on the 
     merged or integrated portion all copyright and other 
     proprietary rights notices included on the originals of the Software.

7.  Network Version
     If you have purchased a "network" version of the Software, this
     Agreement applies to the installation of the Software on a 
     single "file server."  It may not be copied onto multiple 
     systems. Each "node" connected to the "file server" must also 
     have its own license of a "node copy" of the Software, which 
     becomes a license only for that specific "node."

8.  No Transfer of License
     You may not transfer your license of the Software to a 
     third party.
 
9.  Limitations on Using, Copying, and Modifying the Software 
     Except to the extent expressly permitted by this Agreement or 
     by the laws of the jurisdiction where you acquired the 
     Software, you may not use, copy or modify the Software. 
     Nor may you sub-license any of your rights under this Agreement. 
     You may use the Software for your personal use only, and not 
     for public performance or for the creation of publicly 
     displayed videotapes.

10. Decompiling, Disassembling, or Reverse Engineering 
      You acknowledge that the Software contains trade secrets and 
      other proprietary information of Creative and its licensors. 
      Except to the extent expressly permitted by this Agreement or 
      by the laws of the jurisdiction where you are located, you may 
      not decompile, disassemble or otherwise reverse engineer  the 
      Software, or engage in any other activities to obtain 
      underlying information that is not visible to the user in 
      connection with normal use of the Software. 

      In particular, you agree not for any purpose to transmit the 
      Software or display the Software's object code on any computer 
      screen or to make any hardcopy memory dumps of the Software's 
      object code. If you believe you require information related to 
      the interoperability of the Software with other programs, you 
      shall not decompile or disassemble the Software to obtain such 
      information, and you agree to request such information from 
      Creative at the address listed below.  Upon receiving such a 
      request, Creative shall determine whether you require such 
      information for a legitimate purpose and, if so, Creative will
      provide such information to you within a reasonable time and on
      reasonable conditions.  

      In any event, you will notify Creative of any information 
      derived from reverse engineering or such other activities, and 
      the results thereof will constitute the confidential 
      information of Creative that may be used only in connection 
      with the Software.

11. Gracenote(R) CDDB(R) Terms of Use 
      This application may contain software from Gracenote, Inc. of 
      Emeryville, California ("Gracenote"). The software from 
      Gracenote (the "Gracenote Client") enables this application to 
      do online disc and music file identification and obtain 
      music-related information, including name, artist, track, and 
      title information ("Gracenote Data") from online servers 
      ("Gracenote Servers"), and to perform other functions. You 
      may use Gracenote Data only by means of the intended End User 
      functions of this application software. 

      You acknowledge and agree that Creative does not make any 
      representation,undertaking or warranty, either express, implied, 
      or otherwise regarding the provision, continuity of provision 
      and/or use of Gracenote Client, Gracenote Data or 
      Gracenote Server or related materials. You specifically agree 
      that Creative does not guarantee that you will be able to access 
      Gracenote services throughout the term of this Agreement. 

      You further acknowledge and agree that Creative shall not be 
      responsible or liable, directly or indirectly, for any damage 
      or loss caused by or alleged to be caused by or in connection 
      with the use of or inability to use Gracenote Client, Gracenote 
      Data or Gracenote Server or related materials.    

      You agree that you will use Gracenote Data, the Gracenote 
      Client, and Gracenote Servers for your own personal 
      non-commercial use only. You agree not to assign, copy, 
      transfer or transmit the Gracenote Client or any Gracenote 
      Data (except in a Tag associated with a music file) to any 
      third party. YOU AGREE NOT TO USE OR EXPLOIT GRACENOTE DATA, 
      THE GRACENOTE CLIENT, OR GRACENOTE SERVERS, EXCEPT AS 
      EXPRESSLY PERMITTED HEREIN. 

      You agree that your non-exclusive license to use the 
      Gracenote Data, the Gracenote Client, and Gracenote Servers 
      will terminate if you violate these restrictions. If your 
      license terminates, you agree to cease any and all use of 
      the Gracenote Data, the Gracenote Client, and Gracenote 
      Servers. Gracenote reserves all rights in Gracenote Data, 
      the Gracenote Client, and the Gracenote Servers, including 
      all ownership rights. Under no circumstances will Gracenote 
      become liable for any payment to you for any information that 
      you provide, including music file information. You agree that 
      Gracenote may enforce its rights under this agreement against 
      you directly in its own name. 
 
      The Gracenote Service uses a unique identifier to track 
      queries for statistical purposes. The purpose of a randomly 
      assigned numeric identifier is to allow the Gracenote service 
      to count queries without knowing anything about who you are.

      for the Gracenote Privacy Policy for the relevant Gracenote 
      Service. 

      The Gracenote Client and each item of Gracenote Data are 
      licensed to you "AS IS." Gracenote makes no representations 
      or warranties, express or implied, regarding the accuracy of 
      any Gracenote Data from the Gracenote Servers. Gracenote 
      reserves the right to delete data from the Gracenote Servers 
      or to change data categories for any cause that Gracenote 
      deems sufficient. No warranty is made that the Gracenote 
      Client or Gracenote Servers are error-free or that the 
      functioning of the Gracenote Client or Gracenote Servers will 
      be uninterrupted. Gracenote is not obligated to provide you 
      with any enhanced or additional data types that Gracenote may 
      choose to provide in the future and is free to discontinue 
      its online services at any time. GRACENOTE DISCLAIMS ALL 
      WARRANTIES EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED 
      TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A 
      PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Gracenote 
      does not warrant the results that will be obtained by your use 
      of the Gracenote Client or any Gracenote Server. IN NO CASE 
      WILL GRACENOTE BE LIABLE FOR ANY CONSEQUENTIAL OR INCIDENTAL 
      DAMAGES OR FOR ANY LOST PROFITS OR LOST REVENUES. 

12. TERMINATION
      The license granted to you is effective until terminated. You 
      may terminate it at any time by destroying the Software 
      (including any portions or copies thereof) currently in your 
      possession or control. The license will also terminate 
      automatically without any notice from Creative if you fail to 
      comply with any term or condition of this Agreement. You agree 
      upon any such termination to destroy the Software (including 
      any portions or copies thereof). Upon termination, Creative 
      may also enforce any and all rights provided by law. The 
      provisions of this Agreement that protect the proprietary 
      rights of Creative will continue in force after termination.

13. NO WARRANTY 
      ANY USE BY YOU OF THE SOFTWARE IS AT YOUR OWN RISK. THE 
      SOFTWARE IS PROVIDED FOR USE ONLY WITH  CREATIVE'S HARDWARE
      AND RELATED SOFTWARE. THE SOFTWARE IS PROVIDED FOR USE 
      "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT
      PERMITTED BY LAW, CREATIVE DISCLAIMS ALL WARRANTIES OF ANY
      KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, 
      IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY,
      FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT. 
      CREATIVE IS NOT OBLIGATED TO PROVIDE ANY UPDATES OR UPGRADES 
      TO THE SOFTWARE.

      No distributor, dealer or any other entity or person is 
      authorized to expand or alter this warranty or any other 
      provisions of this Agreement. Creative does not warrant that 
      the functions contained in the Software will meet your 
      requirements or that the operation of the Software will be 
      uninterrupted or error-free or free from malicious code. For 
      purposes of this paragraph, "malicious code" means any program 
      code designed to contaminate other computer programs or 
      computer data, consume computer resources, modify, destroy, 
      record, or transmit data, or in some other fashion usurp the 
      normal operation of the computer, computer system, or computer 
      network, including viruses, Trojan horses, droppers, worms, 
      logic bombs, and the like. 

      Any representation, other than the warranties set forth in this 
      Agreement, will not bind Creative.  You assume full 
      responsibility for the selection of the Software to achieve 
      your intended results, and for the downloading, use and results 
      obtained from the Software. You also assume the entire risk as 
      it applies to the quality and performance of the Software. 
      Should the Software prove defective, you (and not Creative, 
      or its distributors or dealers) assume the entire cost of all 
      necessary servicing, repair or correction.

      Further, Creative shall not be liable for the accuracy of any 
      information provided by Creative or third-party technical 
      support personnel, or any damages caused, either directly or 
      indirectly, by acts taken or omissions made by you as a result 
      of such technical support.

      This warranty gives you specific legal rights, and you may also 
      have other rights which vary from country/state to 
      country/state. Some countries/states do not allow the exclusion 
      of implied warranties, so the above exclusion may not apply 
      to you. Creative disclaims all warranties of any kind if the 
      Software was customized, repackaged or altered in any way by 
      any third party other than Creative.

14. DISCLAIMER OF DAMAGES: LIMITATION OF LIABILITY 
      IN NO EVENT SHALL CREATIVE OR ITS LICENSORS BE LIABLE FOR ANY
      DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL, 
      INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR ANY 
      PERSONAL INJURY OR BODILY INJURY (INCLUDING DEATH) TO ANY 
      PERSON CAUSED BY CREATIVE'S NEGLIGENCE, DAMAGES FOR LOSS OF 
      BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS 
      INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE 
      USE OR INABILITY TO USE THIS SOFTWARE, EVEN IF CREATIVE OR 
      ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY 
      OF SUCH DAMAGES. IN NO EVENT WILL CREATIVE’S LIABILITY 
      OR DAMAGES TO YOU OR ANY OTHER PERSON EVER EXCEED THE 
      AMOUNT PAID BY YOU TO USE THE SOFTWARE, REGARDLESS OF THE 
      FORM OF THE CLAIM. 
      BECAUSE SOME STATES/ COUNTRIES DO NOT ALLOW THE EXCLUSION 
      OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL
      DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

15. INDEMNIFICATION BY YOU
      If you distribute the Software in violation of this Agreement, 
      you hereby indemnify, hold harmless and defend Creative from 
      and against any and all claims or lawsuits, including 
      attorney's fees and costs that arise, result from or are 
      connected with the use or distribution of the Software in 
      violation of this Agreement.

16. U.S. GOVERNMENT RESTRICTED RIGHTS
      All Software and related documentation are provided with 
      restricted rights. Use, duplication or disclosure by the U.S. 
      Government is subject to restrictions as set forth in 
      subdivision (b)(3)(ii) of the Rights in Technical Data and 
      Computer Software Clause at 252.227-7013. If you are 
      sub-licensing or using the Software outside of the United States, 
      you will comply with the applicable local laws of your country, 
      U.S. export control law, and the English version of this 
      Agreement.

17. CONTRACTOR/MANUFACTURER

18. GENERAL
      This Agreement is binding on you as well as your employees, 
      employers, contractors and agents, and on any successors and 
      assignees. Neither the Software nor any information derived 
      therefrom may be exported except in accordance with the laws of 
      the U.S. or other applicable provisions. This Agreement is 
      governed by the laws of the State of California (except to the 
      extent federal law governs copyrights and federally registered 
      trademarks). This Agreement is the entire agreement between us 
      and you agree that Creative will not have any liability for any 
      untrue statement or representation made by it, its agents or 
      anyone else (whether innocently or negligently) upon which you 
      relied upon entering this Agreement, unless such untrue 
      statement or representation was made fraudulently. This 
      Agreement supersedes any other understandings or agreements, 
      including, but not limited to, advertising, with respect to the 
      Software.

      If any provision of this Agreement is deemed invalid or 
      unenforceable by any country or government agency having 
      jurisdiction, that particular provision will be deemed modified 
      to the extent necessary to make the provision valid and 
      enforceable, and the remaining provisions will remain in full 
      force and effect.

      For questions concerning this Agreement, please contact 
      Creative at the address stated above.  For questions on product 
      or technical matters, contact the Creative technical support 
      center nearest you.

      This package may include software with DVD-Audio functionality 
      for you to play content-protected DVD-Audio discs. The 
      functionality of this Software may be lost if the content 
      protection system is compromised. In this event, your sole 
      remedy to restore such functionality is to download a product 
      update from Creative's website.

ADDENDUM TO THE MICROSOFT SOFTWARE LICENSE AGREEMENT

IMPORTANT: By using the Microsoft software files (the "Microsoft 
Software") provided with this Addendum, you are agreeing to be 
bound by the following terms. If you do not agree to be bound by 
these terms, you may not use the Microsoft Software.

The Microsoft Software is provided for the sole purpose of 
replacing the corresponding files provided with a previously 
licensed copy of the Microsoft software product ("ORIGINAL 
PRODUCT"). Upon installation, the Microsoft Software files become 
part of the ORIGINAL PRODUCT and are subject to the same warranty 
and license terms and conditions as the ORIGINAL PRODUCT. If you do 
not have a valid license to use the ORIGINAL PRODUCT, you may not 
use the Microsoft Software. Any other use of the Microsoft 
Software is prohibited.

Nothing in this Agreement shall be construed on the part of 
Creative as advocating or authorizing the infringement of local 
and/or international laws applicable to your jurisdiction.


DRM ADDENDUM TO THE MICROSOFT WMFSDK9 SERIES AGREEMENT
==============================================================
Content providers are using the Microsoft digital rights management 
technology for Windows Media ("WM-DRM") to protect the integrity of 
their content ("Secure Content") so that their intellectual property, 
including copyright, in such content is not misappropriated. 
Portions of this software and other third party applications 
("WM-DRM Software") use WM-DRM to transfer or play Secure Content. 
If the WM-DRM Software's security has been compromised, owners of 
Secure Content ("Secure Content Owners") may request that Microsoft 
revoke the WM-DRM Software's right to copy, display, transfer, 
and/or play Secure Content.  Revocation does not alter the WM-DRM 
Software's ability to play unprotected content. A list of revoked 
WM-DRM Software is sent to your computer whenever you download a 
license for Secure Content from the Internet. Microsoft may, in 
conjunction with such license, also download revocation lists onto 
your computer on behalf of Secure Content Owners. Secure Content 
Owners may also require you to upgrade some of the WM-DRM components 
distributed with this software ("WM-DRM Upgrades") before accessing 
their content. When you attempt to play such content, WM-DRM 
Software built by Microsoft will notify you that a WM-DRM Upgrade 
is required and then ask for your consent before the WM-DRM Upgrade 
is downloaded. WM-DRM Software used by third parties may do the same. 
If you decline the upgrade, you will not be able to access content 
that requires the WM-DRM Upgrade; however, you will still be able 
to access unprotected content and Secure Content that does not 
require the upgrade.

**COPYRIGHT INFORMATION FOR USERS OF CREATIVE PRODUCTS

Certain Creative products are designed to assist you in reproducing 
material for which you own the copyright or are authorized to copy 
by the copyright owner or by exemption in applicable law. Unless 
you own the copyright or have such authorization, you may be 
violating copyright law and may be subject to payment of damages 
and other remedies. If you are uncertain about your rights, you 
should contact your legal advisor.

It is your responsibility when using a Creative product to ensure 
there is no infringement of applicable laws on copyright whereby 
the copying of certain materials may require the prior consent of 
the copyright owners. Creative disclaims any liability with regard 
to any illegal use of the Creative product and Creative shall in 
no event be liable with regard to the origin of any data stored in 
a compressed audio file.

You acknowledge and agree that the exportation or use of MP3 
Codecs that may be included with your software, in real-time 
broadcasting (terrestrial, satellite, cable or other media) or 
broadcasting via Internet or other networks, such as but not 
limited to intranets etc., in pay-audio or pay-on-demand 
applications, is not authorised and/or licensed.**

SPECIAL PROVISIONS APPLICABLE TO THE EUROPEAN UNION

If you downloaded the Software in the European Union (EU), the
following provisions also apply to you. If there is any 
inconsistency between the terms of the Software License Agreement 
set out above and the following provisions, the following 
provisions shall take PRECEDENCE.

Decompilation:
You agree not for any purpose to transmit the Software or display 
the Software's object code on any computer screen or to make any 
hard copy memory dumps of the Software's object code. If you 
believe you require information related to the interoperability of 
the Software with other programs, you shall not decompile or 
disassemble the Software to obtain such information, and you agree 
to request such information from Creative at the address listed 
above. Upon receiving such a request, Creative shall determine 
whether you require such information for a legitimate purpose and, 
if so, Creative will provide such information to you within a 
reasonable time and on reasonable conditions.

LIMITED WARRANTY:
EXCEPT AS STATED ABOVE IN THIS AGREEMENT, AND AS PROVIDED 
BELOW UNDER THE HEADING "STATUTORY RIGHTS", THE SOFTWARE IS
PROVIDED AS-IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS
OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED 
WARRANTIES OR CONDITIONS OF MERCHANTABILITY, QUALITY, FITNESS
FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT.

LIMITATION OF REMEDY AND DAMAGES:
THE LIMITATIONS OF REMEDIES AND DAMAGES IN THE SOFTWARE
LICENSE AGREEMENT SHALL NOT APPLY TO PERSONAL INJURY
(INCLUDING DEATH) TO ANY PERSON CAUSED BY CREATIVE'S
NEGLIGENCE AND ARE SUBJECT TO THE PROVISION SET OUT BELOW
UNDER THE HEADING "STATUTORY RIGHTS".

Statutory rights:
Irish law provides that certain conditions and warranties may be
implied in contracts for the sale of goods and in contracts for the
supply of services. Such conditions and warranties are hereby
excluded, to the extent such exclusion, in the context of this
transaction, is lawful under Irish law. Conversely, such conditions
and warranties, insofar as they may not be lawfully excluded, shall
apply. Accordingly nothing in this Agreement shall prejudice any
rights that you may enjoy by virtue of Sections 12, 13, 14 or 15 of
the Irish Sale of Goods Act 1893 (as amended).

General:
This Agreement is governed by the laws of the Republic of Ireland. 
The local language version of this Agreement shall apply to 
Software downloaded in the EU. This Agreement is the entire 
agreement between us and you agree that Creative will not have any 
liability for any untrue statement or representation made by it, 
its agents or anyone else (whether innocently or negligently) upon 
which you relied upon entering this Agreement, unless such untrue 
statement or representation was made fraudulently.

How To Update Drivers Manually

After your driver has been downloaded, follow these simple steps to install it.

  • Expand the archive file (if the download file is in zip or rar format).

  • If the expanded file has an .exe extension, double click it and follow the installation instructions.

  • Otherwise, open Device Manager by right-clicking the Start menu and selecting Device Manager.

  • Find the device and model you want to update in the device list.

  • Double-click on it to open the Properties dialog box.

  • From the Properties dialog box, select the Driver tab.

  • Click the Update Driver button, then follow the instructions.

Very important: You must reboot your system to ensure that any driver updates have taken effect.
