VBox Communication INC. SOFTWARE LICENSE AGREEMENT

THIS VBox Communication INC. 
SOFTWARE LICENSE AGREEMENT("LICENSE")IS AN AGREEMENT 
BETWEEN YOU AND VBox Communication INC.("VBox"). 

  PLEASE READ THIS LICENSE CAREFULLY BEFORE OPENING  
  THE ENVELOPE OR PACKAGE CONTAINING THE SOFTWARE,   
  OR BEFORE CLICKING "I AGREE" IF YOU ARE READING    
  THIS USING A COMPUTER, AS BY BY OPENING THE        
  ENVELOPE OR PACKAGE CONTAINING THE SOFTWARE,       
  OR CLICKING "I AGREE", YOU INDICATE THAT YOU       
  AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE.    
 

VBox IS WILLING TO LICENSE THE SOFTWARE TO YOU 
ONLY UPON THE CONDITION THAT YOU ACCEPT ALL OF THE 
TERMS CONTAINED IN THIS LICENSE. IF YOU DO NOT AGREE 
TO THE TERMS OF THIS LICENSE, VBox IS UNWILLING TO 
LICENSE THE SOFTWARE TO YOU, AND YOU SHOULD PROMPTLY 
RETURN THE UNUSED SOFTWARE TO THE PLACE OF PURCHASE 
FOR A REFUND. 

1.	Grant of License. The software accompanying this License, 
  	whether on the hard drive of a computer, CD-ROM, transmitted
	electronically, or provided on any other media, and the
	related documentation (collectively, "Licensed Materials")
	are licensed to you by VBox according to the terms 
	of this License.  This License allows you to use the 
	Licensed Materials on a single computer.  You may make 
	one additional copy of the Licensed Materials in the 
	form in which they are provided to you, only for 
	backup purposes. You must reproduce on all copies you 
	make of the Licensed Materials the VBox 
	copyright notice and any other proprietary legends that 
	are on the original copy of the Licensed Materials.  
	You may also transfer to another party all your 
	license rights in the Licensed Materials by 
	transferring to that party the hardware product you 
	own with which the Licensed Materials are intended to 
	be used, the original media on which the Licensed 
	Materials were provided (if any) and a copy 
	of this License, provided that the other party reads 
	and agrees to accept the terms and conditions of this License.
	Immediately upon transfer, you have no further rights 
	to use or own copies of the Licensed Materials and 
	must destroy all copies in your possession or control.

2.	Restrictions.  The Licensed Materials contain copyrighted
	material, trade secrets, and other proprietary material of
	VBox and its licensors. You agree that in order to 
	protect those proprietary materials, except as expressly 
	permitted by applicable legislation, you will not decompile,
	reverse engineer, disassemble or otherwise reduce all or 
	any part of the Licensed Materials to human-readable 
	form unless VBox provided it to you in 
	human-readable form.  You may not modify, rent, 
	lease, loan, distribute or create derivative works 
	based upon the Licensed Materials in whole or in part.  

3.	Ownership.  The Licensed Materials are licensed, 
	not sold, to you for use only under the terms of this 
	License, and VBox reserves all rights not 
	expressly granted to you in this License. You own 
	the media on which the Licensed Materials are 
	recorded but VBox and/or VBox's licensors 
	retain title to the Licensed Materials, and all 
	intellectual property rights therein.

4.	Termination.  This License is effective until terminated. 
	You may terminate this License at any time by destroying 
	all copies of the Licensed Materials in your possession or
	control. This License will terminate immediately without 
	notice from VBox if you fail to comply with any 
	provision of this License. Upon termination you must 
	destroy all copies of the Licensed Materials in your 
	possession or control. 

5.	Export Law Assurances. You agree and certify that neither
	the Licensed Materials nor any other technical data 
	received from VBox, nor the direct product thereof, 
	will be exported outside the United States except as 
	authorized and as permitted by the laws and 
	regulations of the United States. If you have rightfully 
	obtained the Licensed Materials outside of the 
	United States, you agree that you will not re-export 
	the Licensed Materials nor any other technical data 
	received from VBox, nor the direct product thereof, 
	except as permitted by the laws and regulations of 
	the United States and the laws and regulations of the
	jurisdiction in which you obtained the Licensed Materials.
	 
6.	Government End Users.  If you are acquiring the 
	Licensed Materials on behalf of any unit or agency 
	of the United States Government, the following provisions 
	apply.  The Licensed Materials constitute a 
	"commercial item", as that term is defined at 
	Federal Acquisition Regulation (FAR) 2.101 
	(Oct. 1995), consisting of "commercial computer software" 
	and "commercial computer software documentation", 
	as such terms are used in FAR 12.212 (Sept. 1995), 
	and is provided to the U.S. Government only as 
	commercial software (with "Restricted Rights", if 
	applicable).  Use, duplication, or disclosure by 
	the U.S. Government is subject to restrictions set 
	forth in this license agreement and as provided in DFARS
	227.7202-1(a) and 227.7202-3(a) (1995), DFARS 2.227-7013(c)
	(1)(ii) (OCT 1988), FAR 12.212(a) (1995), FAR 52.227-19, or
	FAR 52.227-14 (ALT III), as applicable.

7.	Limited Warranty on Media. VBox warrants the 
	media on which the Licensed Materials are recorded 
	to be free from defects in materials and workmanship 
	under normal use for a period of thirty (30) days from the 
	date of purchase as evidenced by a copy of the receipt. 
	VBox's entire liability and your exclusive 
	remedy will be replacement of any media not meeting 
	VBox's limited warranty which is returned to 
	VBox with a copy of the receipt. VBox 
	will have no responsibility to replace any media 
	damaged by accident, abuse or misapplication. 

8.	Disclaimer of Warranty. EXCEPT AS SET FORTH IN SECTION 7, 
	THE LICENSED MATERIALS ARE PROVIDED "AS IS" AND WITHOUT 
	WARRANTY OF ANY KIND. VBox EXPRESSLY DISCLAIMS 
	ALL OTHER WARRANTIES WITH RESPECT TO THE LICENSED 
	MATERIALS, WHETHER SUCH WARRANTIES ARE EXPRESS OR 
	IMPLIED, INCLUDING,BUT NOT LIMITED TO, THE IMPLIED 
	WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR 
	PURPOSE AND NONINFRINGEMENT.YOU EXPRESSLY ACKNOWLEDGE 
	AND AGREE THAT USE OF THE LICENSED MATERIALS IS AT YOUR 
	SOLE RISK. SHOULD THE LICENSED MATERIALS PROVE DEFECTIVE, 
	YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, 
	REPAIR OR CORRECTION. NO ORAL OR WRITTEN INFORMATION 
	OR ADVICE GIVEN BY VBox OR ANY OF ITS EMPLOYEES, 
	REPRESENTATIVES, OR RESELLERS SHALL CREATE ANY WARRANTY 
	IN ADDITION TO THOSE GIVEN HEREIN. SOME JURISDICTIONS 
	DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO 
	THE ABOVE EXCLUSION MAY NOT APPLY IN FULL TO YOU. 
	ANY IMPLIED WARRANTIES SHALL BE LIMITED IN DURATION 
	TO THIRTY (30) DAYS.

9.	Limitation of Liability. UNDER NO CIRCUMSTANCES SHALL 
	VBox BE LIABLE FOR ANY INCIDENTAL, SPECIAL 
	OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE 
	OR INABILITY TO USE THE LICENSED MATERIALS UNDER ANY 
	THEORY, INCLUDING CONTRACT, TORT, OR NEGLIGENCE, EVEN IF
	VBox HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH 
	DAMAGES.  IN NO EVENT SHALL VBox'S TOTAL 
	LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF
	ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE)
	OR OTHERWISE EXCEED THE AMOUNT PAID BY YOU FOR THE 
	SPECIFIC LICENSE OF THE LICENSED MATERIALS TO WHICH 
	THE LIABILITY IS RELATED. 

10.	Controlling Law and Severability. THIS LICENSE SHALL BE 
	GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE 
	LAWS OF THE UNITED STATES AND THE STATE OF CALIFORNIA, 
	EXCEPT FOR ITS CONFLICT OF LAWS PRINCIPLES. If for 
	any reason a court of competent jurisdiction finds any 
	provision of this License, or portion thereof, to be 
	unenforceable, that provision of the License shall be 
	enforced to the maximum extent permissible so as to 
	effect the intent of the parties, and the remainder 
	of this License shall continue in full force and effect. 

11.	Complete Agreement. This License constitutes the 
	entire agreement between the parties with respect to 
	the use of the Licensed Materials and supersedes all 
	prior or contemporaneous understandings or agreements, 	
	written or oral, regarding such subject matter. 
	No amendment to or modification of this License will 
	be binding unless in writing and signed by an authorized 
	officer of VBox. 
	
	The Licensed Materials are protected by United States 
	copyright law and international treaty.  Unauthorized 
	reproduction or distribution is subject to civil and 
	criminal penalties.
