=  SOFTWARE LICENSE AGREEMENT  =
================================

CAREFULLY READ THE FOLLOWING BEFORE INSTALLING THE SOFTWARE:
This license agreement is made between the Customer (an individual or legal entity) and Netsystem.com for the software product supplied together with the hardware product and also covers related recording support materials, printed materials, and online or electronic documentation.  By installing, copying, downloading, viewing, or otherwise using the software product, the Customer agrees to be bound by the conditions of this agreement.  If the Customer does not wish to accept these conditions, he/she must now destroy the original recording support materials and copies or return the complete hardware and software products for a refund of the purchase price.

If not otherwise agreed, this software license agreement regulates the use of all software supplied to the Customer and voids and replaces all the non-Netsystem.com license conditions found in other documents or materials contained in the hardware or software product packaging.

1. USE
The Customer is granted a personal, non-exclusive right for an unlimited period of time to use the software on one computer only, regardless of whether it is loaded on the computer itself or on a server connected to it.  Except the case set forth in Art. 64 - quater of the Law No. 633 of April 22, 1941, the Customer may not disassemble or decompile the software nor use its individual component parts on several computers.  The Customer may make copies of the software for back-up or security reasons, provided that they are not used for other purposes.

2. OWNERSHIP
The software and its components remain the property of Netsystem.com or its licensors, who may also take direct action against Customers that infringe the copyright or violate this agreement in any way.  The Customer is not authorized to grant licenses or sub-licenses nor distribute the software in any way or by any means.  The Customer owns the simple physical support on which the software is recorded.

3. UPDATES AND UPGRADES
This license does not cover any updates or upgrades of the software that Netsystem.com or its licensors might provide.

4. TRANSFER OF SOFTWARE RIGHTS
The Customer may transfer the rights on the software to third parties provided that (a) this transfer is permanent, (b) no copies of the software are kept, and (c) the party that accepts the software fully accepts the conditions of this license.

5. TERM, WITHDRAWAL AND TERMINATION
This license has an unlimited term.  The Customer may withdraw from the license at any time by serving written notice at least 15 days in advance.  Netsystem.com shall have the right to terminate the license in the case of breach by the Customer.  Netsystem.com shall serve a warning to perform within a period of 15 days.  Once this deadline has expired without satisfaction, the license is cancelled.  However, Netsystem.com retains its right to compensation for damages.
If the license is terminated for any reason, the Customer must, at his/her own discretion, (a) return the software product and any copies in his/her possession to Netsystem.com, or (b) destroy the software product and supply proof thereof to Netsystem.com.
