Software License Agreement - Version 1.01

MARC KLENOTIC IS WILLING TO LICENSE THIS SOFTWARE TO YOU ONLY ON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS CONTAINED IN THIS SOFTWARE LICENSE AGREEMENT. This is a legal agreement between you (either an individual end-user or an entity) and Marc Klenotic. By installing, using, transmitting, copying or distributing this Software, you acknowledge that you have read this license agreement, that you understand it and that you agree to be bound by its terms. If you do not agree to the terms and conditions of this license agreement, do not install, use, transmit, copy or distribute this Software.

1. Grant of License
Marc Klenotic grants you a non-exclusive license to use the HFX Driver (Software), including any accompanying Documentation files.

2. Ownership
You have no ownership rights in the Software. Rather, you have a license to use the Software as long as this License Agreement remains in full force and effect. Ownership of the Software, Documentation and all intellectual property rights therein shall remain at all times with Marc Klenotic. 

3. Copyright
The Software and Documentation contain material that is protected by United States Copyright Law and trade secret law, and by international treaty provisions. All rights not granted to you herein are expressly reserved by Marc Klenotic. You may not remove any proprietary notice of Marc Klenotic from any copy of the Software or Documentation.

4. Distribution
You may make complete and unmodified copies of only the installation package of the Software as released by Marc Klenotic, in machine-readable form for distribution to a third party, provided the entire contents of the Software are copied in their entirety with copyright and trademark information in place.

5. Restrictions
You may not reverse engineer, decompile, disassemble or otherwise reduce the Software to a human readable form, except and only to the extent that it is expressly permitted by applicable law notwithstanding this limitation.  You may not modify, adapt, translate, rent, lease, or create derivative works based upon the Software or any part thereof.

7. No Warranty
The Software is provided "as is" to the maximum extent permitted by law. Marc Klenotic disclaims all warranties of any kind, either expressed or implied including, without limitation, implied warranties of merchantability and fitness for a particular purpose. Marc Klenotic does not warrant that the functions contained in the Software will meet any requirements or needs you may have, or that the Software will operate error free, or in an uninterrupted fashion, or that any defects or errors in the Software will be corrected, or that the Software is compatible with any particular platform. 

8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARC KLENOTIC BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, INDIRECT, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, PERSONAL INJURY OR LOSS OF PRIVACY) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE OR FOR ANY CLAIM BY ANY OTHER PARTY, EVEN IF MARC KLENOTIC HAS BEEM ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MARC KLENOTIC'S AGGREGATE LIABILITY WITH RESPECT TO ITS OBLIGATIONS UNDER THUS AGREEMENT OR OTHERWISE WITH RESPECT TO THE SOFTWARE AND DOCUMENTATION OR OTHERWISE SHALL NOT EXCEED THE AMOUNT OF THE LICENSE FEE PAID BY YOU FOR THE SOFTWARE AND DOCUMENTATION. 

9. Government Commercial Rights
Use, duplication or disclosure by the U.S. Government shall be in accordance with the commercial license rights and restrictions described elsewhere herein.

10. Export Restrictions
This license agreement is expressly made subject to any laws, regulations, orders or other restrictions on the export from The United States of America of the Software or information about such Software which may be imposed from time to time by the government of the United States of America. You shall not export the Software, Documentation or information about the Software and Documentation without compliance with such laws, regulations, orders or other restrictions.

11. Termination
This License Agreement is effective until it is terminated. You may terminate this License Agreement at any time by destroying all copies of the Software and Documentation in your possession or under your control. Marc Klenotic may terminate this License Agreement for any reason, including, but not limited to, if he finds that you have violated any of the terms of this License Agreement. Upon notification of termination, you agree to destroy all copies of the Software and Documentation.

12. Agents and Third Party Purchases
If you are acquiring the Software on behalf of another person or entity, you represent and warrant that you have the authority to bind the party or entity for which you are acquiring the Software to the terms and conditions of this License Agreement.

13. General
This License Agreement shall be construed, interpreted and governed by the laws of the United States of America and the State of Ohio without regard to conflicts of law provisions thereof. The exclusive forum for any disputes arising out of or relating to this License Agreement shall be an appropriate court sitting in the state of Ohio in the United States of America. This License Agreement shall constitute the entire Agreement between the parties hereto. If any part of this License Agreement is found invalid or unenforceable by a court of competent jurisdiction, the provision of the License Agreement shall be enforced to the maximum extent permissible so as to reasonably affect the intention of the parties and the remainder of this License Agreement shall continue in full force and effect.
