END-USER LICENSE AGREEMENT FOR DIGITAL SPEECH STANDARD PLAYER SOFTWARE

IMPORTANT-READ CAREFULLY:  This End-User License Agreement ("License") is a legal agreement between you and RadioShack, the distributor of your Digital Speech Standard Player.  As use in this License, the term "SOFTWARE" includes the Digital Speech Standard Player personal computer software, the associated media, any printed materials describing the use or operation of the Digital Speech Standard Player personal computer software, and any online or electronic documentation.  If the SOFTWARE is not accompanied by a Digital Speech Standard Player, you may not use or copy the SOFTWARE.  By installing, copying or otherwise using the SOFTWARE, you agree to be bound by the terms of this License.  If you do not agree to the terms of this License, RadioShack is unwilling to license the SOFTWARE to you.  In such event, you may not use or copy the SOFTWARE, and you should promptly contact RadioShack for instructions on return of the SOFTWARE for a refund of the portion of the purchase price of the Digital Speech Standard Player allocable to the SOFTWARE (not to exceed 1/100 of the total Digital Speech Standard Player purchase price).

SOFTWARE LICENSE
The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.  The SOFTWARE is licensed, not sold.

1.  GRANT OF LICENSE.  This License grants you the following rights:
* Software.  You may install and use one copy of the SOFTWARE on one computer in connection with your use of the Digital Speech Standard Player.
* Storage/Network Use.  You may not use the SOFTWARE over an internal network or distribute the SOFTWARE to other computers over a network.
* Back-Up Copy.  You may make a back-up copy of the SOFTWARE (excluding the printed materials and documentation) solely for archival purposes.  Except as expressly provided in this License, you may not otherwise make copies of the SOFTWARE or the printed materials accompanying the SOFTWARE.

2.  DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
* Limitation on Reverse Engineering, Decompilation and Disassembly.  You may not modify, reverse engineer, decompile, or disassemble the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
* Separation of Components.  The SOFTWARE is licensed as a single product.  Its component parts may not be separated for use on more than one computer.
* Use only with Digital Speech Standard Player.  The SOFTWARE is licensed with the Digital Speech Standard Player as a single integrated product.  The SOFTWARE may only be used with the Digital Speech Standard Player.
* Rental.  You may not rent or lease the SOFTWARE.
* Trademarks.  This License does not grant you any rights in connection with any trademarks or service marks of RadioShack or its suppliers.
* Software Transfer.  You may permanently transfer all of your rights under this License only as part of a sale or transfer of the Digital Speech Standard Player, provided you retain no copies, you transfer all of the SOFTWARE (including all component parts, any copies, the media and printed materials, any upgrades of the SOFTWARE and this License), and the recipient agrees to the terms of this License.  If the SOFTWARE is upgraded, any transfer must include all prior versions of the SOFTWARE.
* Termination.  Without prejudice to any other rights, RadioShack may terminate this License if you fail to comply with the terms and conditions of this License.  In such event, you must destroy all copies of the SOFTWARE and all of its component parts and no refund will be made to you.
* Reservation of Rights.  All rights not specifically granted under this License are reserved by RadioShack or its suppliers.

3.  COPYRIGHT.  All title and copyrights in and to the SOFTWARE (including, but not limited to, any audio, music, images, video, text and applets, incorporated into the SOFTWARE), and any copies of the SOFTWARE, are owned by RadioShack or its suppliers.  All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties.  This License grants you no rights in the use of such content.

4.  U.S.  GOVERNMENT RESTRICTED RIGHTS.  The SOFTWARE is provided with "Restricted Rights".  Use, duplication, or disclosure by the United States Government is subject to restrictions as set forth in subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at FAR, 48 CFR 52.227-19 (June 1987). LIMITED WARRANTY

1.  LIMITED WARRANTY ON MEDIA.  The media on which the copy of the SOFTWARE is furnished is warranted by RadioShack against manufacturing defects in material and workmanship under normal use for ninety (90) days from the date of purchase of the Digital Speech Standard Player from RadioShack company owned stores and authorized RadioShack franchisees and dealers.  This limited warranty extends only to you as the original licensee.  In the event of a media defect during the warranty period, take the media and the RadioShack sales receipt as proof of purchase date to any RadioShack store and RadioShack will, at its option, unless otherwise provided by law: (a) replace the media with one containing a copy of the same or updated SOFTWARE; or (b) refund the portion of the purchase price of the Digital Speech Standard Player allocable to the SOFTWARE.  All replaced media, and media on which a refund is made, become the property of RadioShack.  Replaced media is warranted for the remainder of the original warranty period.  You will be charged for replacement of the media made after the expiration of the warranty period.  RadioShack shall have no responsibility to refund for or replace media damaged by accident, abuse or misapplication.  EXCEPT AS PROVIDED HEREIN, RADIOSHACK MAKES NO EXPRESS WARRANTIES AND ANY IMPLIED WARRANTIES ON THE MEDIA OR SOFTWARE, INCLUDING THOSE OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED IN DURATION TO THE DURATION OF THE ABOVE WRITTEN LIMITED WARRANTY ON THE MEDIA.  This warranty does not cover: (a) damage or failure caused by or attributable to acts of God, abuse, accident, misuse, improper or abnormal usage, failure to follow instructions, improper installation or maintenance, alteration, lightning or other incidence of excess voltage or current; (b) any repairs other than those provided by a RadioShack Authorized Service Facility; (c) consumables such as fuses or batteries; (d) cosmetic damage; (e) transportation, shipping or insurance costs; or (f) costs of product removal, installation, set-up service adjustment or reinstallation. 

2.  EXCLUSION OF WARRANTY ON SOFTWARE.  You expressly acknowledge and agree that use of the SOFTWARE is at your sole risk.  RadioShack and RadioShack's suppliers will be collectively referred to as "RADIOSHACK" in this paragraph.  THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND.  RADIOSHACK EXPRESSLY DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SOFTWARE, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  RADIOSHACK DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BE ERROR FREE, UNINTERRUPTED OR CORRECTED.  FURTHERMORE, RADIOSHACK DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.  SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU (AND NOT RADIOSHACK) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.

LIMITATION OF LIABILITY

RadioShack and RadioShack's suppliers will be collectively referred to as "RADIOSHACK" in this paragraph.  EXCEPT AS PROVIDED HEREIN, RADIOSHACK SHALL HAVE NO LIABILITY OR RESPONSIBILITY TO YOU OR ANY OTHER PERSON OR ENTITY WITH RESPECT TO ANY LIABILITY, LOSS OR DAMAGE CAUSED DIRECTLY OR INDIRECTLY BY USE OR PERFORMANCE OF THE DIGITAL SPEECH STANDARD PLAYER, INCLUDING THE MEDIA AND SOFTWARE, OR ARISING OUT OF ANY BREACH OF THIS WARRANTY, INCLUDING, BUT NOT LIMITED TO, ANY DAMAGES RESULTING FROM INCONVENIENCE, LOSS OF TIME, DATA, PROPERTY, REVENUE, OR PROFIT OR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, EVEN IF RADIOSHACK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN ANY EVENT, RADIOSHACK'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU ALLOCABLE TO THE SOFTWARE.  

Some states do not allow limitations on how long an implied warranty lasts or the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you.  This warranty gives you specific legal rights, and you may also have other rights which vary from state to state.

This License is governed by the laws of the State of Texas unless the original licensee acquired the SOFTWARE outside of the United States, in which event local law may apply.
