END USER LICENSE AGREEMENT FOR 2WIRE, INC.

CONDITIONAL INFORMATION FOR CD OR ONLINE VERSIONS OF THE AGREEMENT:

BY CLICKING ON THE "I ACCEPT" CHECKBOX, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT AND ACKNOWLEDGE THAT YOU ARE PROVIDED THE LICENSE GRANTED BELOW SUBJECT TO YOUR ACCEPTANCE OF AND COMPLIANCE WITH THESE TERMS TO THE EXCLUSION OF ALL OTHER TERMS AND REGARDLESS OF ANY REPRESENTATIONS MADE BY 2WIRE OR ITS LICENSORS, SUPPLIERS OR RESELLERS.  IF YOU DO NOT WISH TO BE BOUND TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, CLICK ON THE "EXIT" BUTTON AND RETURN THE PRODUCT TO THE PLACE OF PURCHASE WITHIN THIRTY (30) DAYS OF PURCHASE WITH RECEIPT FOR A FULL REFUND.  IF THESE TERMS ARE CONSIDERED AN OFFER, ACCEPTANCE IS EXPRESSLY LIMITED TO THESE TERMS.

LICENSE AGREEMENT

1.      Grant of License.

Subject to all the terms of this License Agreement (the "Agreement") and payment of all fees for the product, 2Wire, Inc. ("2Wire") grants you a limited, personal, non sublicensable, non-transferable, royalty-free, nonexclusive right to internally use the non-source code form of the software that you are about to download (the "Software") solely as embedded in and for installation of the 2Wire HomePortal, OfficePortal or adapter products (the "Product") and only in accordance with any documentation that accompanies it.

2.      Restrictions.

You may not, directly or indirectly: copy, distribute, rent, lease, timeshare, operate a service bureau with, use commercially or for the benefit of a third party, reverse engineer, disassemble, decompile, attempt to discover the source code or structure, sequence and organization of, or remove any proprietary notices from, the Software. As between the parties, title, ownership rights, and intellectual property rights in and to the Software, and any copies or portions thereof, shall remain in 2Wire and its suppliers or licensors.  The Software is protected by the copyright laws of the United States and international copyright treaties. All the limitations and restrictions on Software in this Agreement also apply to documentation. 2Wire reserves all rights not expressly granted herein.

3.      Termination.

You may terminate this Agreement and the license granted herein at any time by destroying or removing from all computers, networks, and storage media all copies of the Software. 2Wire may terminate this Agreement and the license granted herein immediately if you breach any provision of this Agreement. Upon receiving notice of termination from 2Wire, you will destroy or remove from all computers, networks, and storage media all copies of the Software. Sections 2 and 4 through 8 shall survive termination of this Agreement.  Termination is not an exclusive remedy and all other remedies will be available whether or not termination occurs.  2Wire has the right to discontinue marketing, distribution, or licensing of the Product and/or Software at any time in its sole discretion.

4.      Indemnification.

You agree that 2Wire shall have no liability whatsoever for any use you or any third party make of the Software. You hereby agree to indemnify and hold harmless 2Wire from any and all damages, liability, costs, and expenses (including attorney's fees) arising from claims related to your use of the Software.

5.      Limited Warranty.

2Wire warrants for a period of one (1) year from your first acquisition of the Software and/or Product that the Product hardware and media containing the Software will be free from material defects and that the Software and/or Product will materially conform to 2Wire's then current user documentation for such Software and/or Product. 2Wire's sole obligation, and your sole remedy, with respect to any warranties set forth herein and made within the applicable warranty period shall be for 2Wire, at 2Wire's sole discretion, to: (x) use reasonable efforts to correct documented failures that 2Wire's diagnosis indicates are caused by a defect in the unaltered, latest version of the Software to cause the Software to materially conform to 2Wire's then-published specifications; or (y) replace the Software and/or Product with Software and/or Product meeting such published specifications.

The warranties set forth herein shall become void: (i) at the expiration of the warranty period; (ii) if the Software and/or Product has been modified or altered in any way; (iii) if the defect is the result of an event after delivery to you; (iv) if you are in breach of any agreement with 2Wire; (v) if the Software and/or Product has not been installed, operated, repaired or maintained in accordance with any installation, handling, maintenance, or operating instructions supplied by 2Wire; (vi) if the Software has been subjected to unusual physical or electrical stress, misuse, negligence, or accident; or (vii) if the Software and/or Product is used in ultra-hazardous activities. This warranty covers only problems reported to 2Wire during the warranty period in connection with nonconforming Software and/or Products returned to 2Wire in accordance with 2Wire's then-current warranty return procedures.  This warranty gives you specific legal rights, and you may have other rights that vary from state to state.

6.      Warranty Disclaimer.

ANY LIABILITY OF 2WIRE WITH RESPECT TO THE SOFTWARE AND/OR PRODUCT OR THE PERFORMANCE THEREOF UNDER ANY WARRANTY, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY WILL BE LIMITED EXCLUSIVELY TO SOFTWARE AND/OR PRODUCT REPLACEMENT OR, IF REPLACEMENT IS INADEQUATE AS A REMEDY OR, IN 2WIRE'S OPINION, IMPRACTICAL, TO REFUND OF THE FEE PAID. EXCEPT FOR THE FOREGOING, ALL SOFTWARE AND PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. FURTHER, 2WIRE DOES NOT WARRANT RESULTS OF USE OR THAT THE SOFTWARE OR PRODUCTS ARE BUG FREE OR THAT THEIR USE WILL BE UNINTERRUPTED.  Some states do not allow limitations on how long an implied warranty lasts, so the above limitations, to the extent prohibited by law, may not apply to you, provided that any implied warranties that may not be disclaimed by law are limited in duration to the limited warranty period set forth above.

IF THE SOFTWARE YOU ARE DOWNLOADING IS IN CONNECTION WITH THE INSTALLATION AND USE OF 2WIRE'S PARENTAL CONTROLS AND ACCESS CONTROLS APPLICATIONS, 2WIRE AND ITS LICENSORS, SUPPLIERS AND RESELLERS DO NOT WARRANT, GUARANTEE OR MAKE ANY REPRESENTATIONS REGARDING THE USE, OR THE RESULTS OF THE USE, OF THE PARENTAL CONTROLS SOFTWARE, URL CATEGORY LISTS OR WRITTEN MATERIALS IN TERMS OF CORRECTNESS, ACCURACY, COMPLETENESS, RELIABILITY, CURRENTNESS, OR OTHERWISE.  2WIRE AND ITS LICENSORS, SUPPLIERS AND RESELLERS SPECIFICALLY DO NOT WARRANT THAT THE PARENTAL CONTROLS SOFTWARE OR URL CATEGORY LISTS WILL PREVENT ACCESS TO ALL OFFENSIVE OR OBSCENE MATERIAL.

7.      Support and Maintenance.

This Agreement does not entitle you to any support and maintenance services.  Any such support for the Software that may be made available by 2Wire shall become part of the Software and subject to this Agreement. To contact technical support, refer to the technical support contact information provided in the documentation provided with the Software and/or Product (if applicable) or in the user interface of the Software and/or Product.

8.      Limitation of Liability.

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE, SHALL 2WIRE OR ITS LICENSORS, SUPPLIERS OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, COMPUTER FAILURE OR MALFUNCTION, OR DAMAGES RESULTING FROM YOUR USE OF THE SOFTWARE OR THE PRODUCT.  Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation and exclusions may not apply to you.

9.      Export Controls.

You shall comply with all export laws and restrictions and regulations of the Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control ("OFAC"), or other United States or foreign agency or authority, and not to export, or allow the export or re-export of the Software or Product in violation of any such restrictions, laws or regulations. By downloading or using the Software, you agree to the foregoing and represent and warrant that you are not located in, under the control of, or a national or resident of any restricted country or on any such list.

10.     ARBITRATION.

ANY DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR IN RELATION TO THIS AGREEMENT OR AT LAW, OR THE BREACH, TERMINATION OR INVALIDITY THEREOF, INCLUDING ANY DISPUTE REGARDING THE APPLICATION OR MEANING OF TERMS CONTAINED HEREIN, INCLUDING THIS ARBITRATION PROVISION, SHALL BE FINALLY SETTLED BY ARBITRATION IN SAN JOSE, CALIFORNIA (WHICH ARBITRATION SHALL BE BINDING AND ENFORCEABLE IN ANY COURT OF COMPETENT JURISDICTION) IN ACCORDANCE WITH THE COMMERCIAL RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA).  YOU HAVE THE OPTION OF  PARTICIPATING IN CLASS ARBITRATION.  THE ARBITRATOR SHALL HAVE THE POWER TO GRANT EQUITABLE RELIEF, INCLUDING INJUNCTIVE RELIEF, AND SHALL MAINTAIN CONTINUING JURISDICTION FOR SUPERVISION AND ENFORCEMENT.

11.     Miscellaneous.

This Agreement is personal to you and you shall not assign or transfer the Agreement or the Software to any third party under any circumstances.  2Wire may assign this Agreement in whole or in part. Any notice, report, approval or consent required or permitted hereunder shall be in writing. If you are an agency, department, or other entity of the United States Government, the use, duplication, reproduction, release, modification, disclosure or transfer of this Software, or any related documentation of any kind, including technical data or related manuals, is restricted in accordance with Federal Acquisition Regulation 12.212 for civilian agencies and Defense Federal Acquisition Regulation Supplement 227.7202 for military agencies.  This Software is commercial computer software and the related documentation is commercial computer software documentation. The use of this Software and related documentation is further restricted in accordance with the terms of this Agreement, or any modification hereto.  No failure or delay in exercising any right hereunder will operate as a waiver thereof, nor will any partial exercise of any right or power hereunder preclude further exercise. If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement shall be deemed to have been made in, and shall be construed pursuant to the laws of, the State of California and the United States without regard to conflicts of laws or provisions thereof, and without regard to the United Nations Convention on the International Sale of Goods.  This Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements and communications relating to the subject matter of this Agreement. The prevailing party in any action to enforce this Agreement will be entitled to recover its attorney's fees and costs in connection with such action.

How To Update Drivers Manually

After your driver has been downloaded, follow these simple steps to install it.

  • Expand the archive file (if the download file is in zip or rar format).

  • If the expanded file has an .exe extension, double click it and follow the installation instructions.

  • Otherwise, open Device Manager by right-clicking the Start menu and selecting Device Manager.

  • Find the device and model you want to update in the device list.

  • Double-click on it to open the Properties dialog box.

  • From the Properties dialog box, select the Driver tab.

  • Click the Update Driver button, then follow the instructions.

Very important: You must reboot your system to ensure that any driver updates have taken effect.
