Este ficheiro contém as versões Inglesa e traduzidas da Licença 
de Utilização do Software. Se houver alguma inconsistência entre 
as duas versões no que diz respeito aos termos contidos nos mesmos, 
a versão Inglesa toma a precedência.

CONTRATO DE LICENÇA DE SOFTWARE CREATIVE PARA UTILIZADORES FINAIS 
                        Versão 2.5, Julho de 2000

POR FAVOR, LEIA ESTE DOCUMENTO CUIDADOSAMENTE ANTES DE UTILIZAR O 
SOFTWARE. A UTILIZAÇÃO DO SOFTWARE IMPLICA A ACEITAÇÃO, DA SUA 
PARTE, DOS TERMOS E CONDIÇÕES DO PRESENTE CONTRATO. SE NÃO 
CONCORDAR COM OS REFERIDOS TERMOS E CONDIÇÕES, NÃO INSTALE NEM 
UTILIZE O SOFTWARE. DEVOLVA PRONTAMENTE, NO LOCAL DE AQUISIÇÃO E 
DENTRO DO PRAZO DE 15 DIAS, O SOFTWARE, TODA A DOCUMENTAÇÃO 
RELACIONADA COM O PRODUTO, BEM COMO QUAISQUER ARTIGOS QUE O 
ACOMPANHEM. SERÁ REEMBOLSADO.

Este documento constitui um contrato legal entre o adquirente e 
a Creative Technology Ltd. e suas subsidiárias ("Creative").  
Contém os termos e condições ao abrigo das quais a Creative se 
propõe conceder a licença relativa ao software incluído na embalagem 
selada e a toda a documentação relacionada e demais artigos que 
acompanham o produto, incluindo, entre outros, programas executáveis,
controladores, bibliotecas e ficheiros de dados associados aos 
referidos programas (colectivamente designados por "Software").

LICENÇA
1.  Concessão de licença.
    O Software é disponibilizado sob licença e não vendido, e a sua 
    utilização encontra-se restringida aos termos do presente Contrato.
    O adquirente é proprietário do disco ou outro suporte no qual o 
    Software tiver sido original ou subsequentemente gravado ou fixado; 
    mas nos termos deste Contrato entre o adquirente e a Creative 
    (e, na medida prevista pela lei, entre ele e os representantes 
    da Creative), a Creative conserva o título e posse integrais do 
    Software, reservando-se todos os direitos não expressamente 
    concedidos ao adquirente.
    A licença no termos desta Secção 1 é condicionada pelo cumprimento 
    de todas as obrigações ao abrigo deste Contrato por parte do Creative 
    adquirente. A concede ao adquirente o direito de utilizar todo este 
    Software ou uma porção do mesmo desde que
    (a) o Software não seja distribuído lucrativamente;
    (b) o Software seja usado apenas em conjunção com a família 
        de produtos Creative;
    (c) tenha sido em com que o Software NÃO pode ser modificado;
    (d) todos os avisos relativos aos direitos de autor sejam 
        mantidos no Software; e
    (e) o licenciado/utilizador final concorde em ficar vinculado 
        aos termos deste Contrato.

2.  Utilização num único computador.
    O Software pode ser utilizado apenas num único computador, por um 
    único utilizador, num dado momento. É permitida a transferência, 
    de um computador para outro, da parte do Software passível de ser 
    lida pelo sistema, desde que 
    (a) o Software (incluindo quaisquer 
        cópias do mesmo) seja apagado do primeiro computador e 
    (b) não exista a possibilidade de o Software ser utilizado em mais
        do que um computador de cada vez.

3.  Utilização independente.
    É permitida a utilização do Software apenas de forma independente,
    de tal modo que o Software e as funções por ele disponibilizadas  
    possam ser acedidas apenas por pessoas fisicamente presentes junto 
    do computador no qual o Software está instalado. É proibido o 
    acesso remoto ao Software ou suas funções, bem como a transmissão
    de toda ou qualquer parte do Software através de uma rede ou de 
    uma linha de comunicações.

4.  Copyright.
    O Software é propriedade da Creative e/ou dos seus licenciados 
    e está protegido pelas leis de copyright dos Estados Unidos e 
    por disposições de tratados internacionais. Não é permitido 
    remover o aviso de copyright de qualquer cópia do Software ou 
    dos materiais impressos, se os houver, que acompanham o Software.

5.  Uma cópia para arquivo.
    É permitida a execução de uma (1) cópia de segurança da parte do 
    Software passível de leitura pelo sistema, para efeitos de arquivo
    e apenas como recurso da utilização do Software num único 
    computador, desde que sejam reproduzidos na cópia todos os avisos 
    de copyright, de direitos de autor e de propriedade que se 
    encontram nos originais do Software.

6.  Proibição de fusões e integrações.
    É proibida a fusão de qualquer parte do presente Software com 
    outro programa, bem como a sua integração noutro programa, 
    excepto na medida em que tal seja permitido pela legislação da 
    jurisdição na qual o Software esteja a ser utilizado. Qualquer
    parte do Software que se encontre fundida com outro programa ou 
    nele integrada continuará a estar sujeita aos termos e condições 
    do presente Contrato, devendo ser reproduzidos no novo programa 
    todos os avisos de copyright, de direito de autor e outros avisos
    de propriedade incluídos nos originais do Software.

7.  Versão para Rede.
    Se tiver sido adquirida uma versão do Software para utilização em 
    rede, o presente Contrato aplica-se à instalação do Software num 
    único "servidor de ficheiros", não sendo permitida a sua cópia 
    para vários sistemas. Cada "nó" da rede ligado ao "servidor de
    ficheiros" deve possuir também uma licença própria de
    "cópia de nó", que constitui uma licença apenas para efeitos do 
    "nó" em questão.

8.  Transferência da licença.
    É permitida a transferência da licença, desde que:
    (a) sejam transferidas todas as partes do Software ou suas cópias;
    (b) não seja conservada qualquer parte do Software nem uma cópia 
        deste e, 
    (c) a entidade em benefício da qual tiver sido efectuada a 
        transferência tenha tomado conhecimento dos termos e condições
        do presente Contrato e concorde em ser obrigada por eles.

9.  Limitações à utilização, cópia e modificação do Software.
    Salvo na medida expressamente permitida pelo presente Contrato ou
    pelas leis da jurisdição na qual o Software tenha sido adquirido, 
    não é permitido utilizar, copiar ou modificar o Software. Está 
    igualmente vedado o sub-licenciamento de qualquer dos direitos do 
    adquirente emergentes deste Contrato.
    Pode utilizar este software apenas para uso pessoal e não para 
    divulgação pública ou para a criação de cassetes de vídeo para 
    apresentação em público.

10. Descompilação, desassemblagem ou retro-engenharia.
    O adquirente reconhece que o Software contém segredos industriais
    e outras informações de propriedade da Creative e seus 
    representantes. Excepto na medida em que o presente Contrato ou as 
    leis da jurisdição a que pertence o adquirente o permitam, é 
    proibida a descompilação, desassemblagem ou retro-engenharia do 
    Software, bem assim como a prossecução de quaisquer outras 
    actividades destinadas a obter informações protegidas, não 
    visíveis pelo utilizador durante a utilização normal do Software.
    Em qualquer caso, o adquirente deve notificar a Creative de 
    quaisquer informações a que tenha acesso, derivadas da 
    retro-engenharia ou de actividades similares, que constituirem 
    informações confidenciais da Creative, utilizáveis apenas em 
    relação ao Software.

    O adquirente obriga-se a não transmitir nem divulgar, quaisquer 
    que sejam as circunstâncias, o código-objecto do Software em 
    qualquer ecrã de computador, bem como a não o transpor da 
    memória do Software para papel. Mesmo que o adquirente 
    considere ter necessidade de informações relacionadas com a 
    interoperacionalidade entre o Software e outros programas, não 
    poderá descompilar nem desassemblar o Software para as obter. 
    Mais concorda em solicitar as informações pertinentes à Creative, 
    dirigindo o seu pedido para o endereço abaixo indicado. Caberá 
    à Creative, ao receber tal pedido, determinar se as informações 
    solicitadas se destinam a preencher uma finalidade legítima e, 
    em caso afirmativo, fornecê-las ao adquirente mediante condições 
    e dentro de um prazo considerados razoáveis.


    Em qualquer caso, o adquirente terá de notificar a Creative de 
    quaisquer informações obtidas através de engenharia inversa ou 
    de quaisquer outras actividades semelhantes, passando os 
    resultados a constituir informações confidenciais da Creative, 
    que só poderão ser utilizadas em ligação com o Software.

11. Software com funcionalidades CDDB.
    Este pacote inclui aplicações que podem conter software 
    proveniente da CDDB, Inc. de Berkeley, Califórnia ("CDDB"). 
    O software da CDDB ("Cliente CDDB") permite à aplicação proceder 
    a uma identificação do disco online e obter informações 
    relacionadas com música, incluindo o nome, o artista, a pista e 
    o título ("Dados CDDB") a partir de servidores online 
    ("Servidores CDDB"), bem como executar outras funções.

    O Adquirente concorda em utilizar os Dados CDDB, o Cliente CDDB 
    e os Servidores CDDB apenas para seu uso pessoal e sem objectivos
    comerciais. O Adquirente concorda em não atribuir, copiar, 
    transferir ou transmitir o Cliente CDDB ou quaisquer Dados CDDB 
    a terceiros. O ADQUIRENTE CONCORDA EM NÃO UTILIZAR NEM EXPLORAR 
    OS DADOS CDDB, O CLIENTE CDDB OU OS SERVIDORES CDDB, EXCEPTO DA 
    FORMA EXPRESSAMENTE INDICADA NESTA DECLARAÇÃO.

    O Adquirente concorda que a sua licença não exclusiva de 
    utilização dos Dados CDDB, do Cliente CDDB e dos Servidores 
    CDDB terminará no caso de violar as referidas restrições. Se 
    a licença do Adquirente terminar, o Adquirente concorda com a 
    cessação de toda e qualquer utilização dos Dados CDDB, do Cliente 
    CDDB e dos Servidores CDDB. A CDDB reserva-se todos os direitos 
    sobre os Dados CDDB, o Cliente CDDB e os  Servidores CDDB, 
    incluindo todos os direitos de propriedade. O Adquirente concorda
    que a CDDB, Inc. poderá impor os seus direitos, ao abrigo deste 
    Contrato, directamente contra o Adquirente e em nome da própria CDDB.

    O Cliente CDDB e cada item dos Dados CDDB são licenciados ao 
    Adquirente "TAL COMO ESTÃO". A CDDB não oferece qualquer 
    representação ou garantia, quer expressa quer implícita, no que 
    diz respeito à exactidão dos Dados CDDB provenientes dos 
    Servidores CDDB. A CDDB reserva-se o direito de eliminar dados 
    dos Servidores CDDB ou de alterar as categorias dos dados por 
    qualquer motivo que a CDDB considere suficiente. Não é fornecida 
    qualquer garantia de que o Cliente CDDB ou os Servidores CDDB 
    estejam isentos de erros ou de que o funcionamento do Cliente CDDB 
    ou dos Servidores CDDB será ininterrupto. A CDDB não é obrigada a 
    fornecer ao Adquirente nenhuns tipos de dados ou categorias 
    melhorados ou adicionais que a CDDB opte por fornecer no futuro.

    A CDDB EXCLUI TODAS AS GARANTIAS EXPRESSAS OU IMPLÍCITAS, 
    INCLUINDO, MAS NÃO SE LIMITANDO, ÀS GARANTIAS IMPLÍCITAS DE 
    COMERCIALIZAÇÃO OU ADEQUAÇÃO A UM FIM ESPECÍFICO, DE TÍTULO 
    E DE NÃO INFRACÇÃO. A CDDB não oferece garantias quanto aos 
    resultados que serão obtidos pela utilização do Cliente CDDB 
    ou de qualquer Servidor CDDB. EM CASO ALGUM A CDDB SERÁ 
    RESPONSÁVEL POR QUAISQUER PREJUÍZOS INDIRECTOS OU 
    CONSEQUENCIAIS OU POR PERDA DE NEGÓCIOS OU DE LUCROS.

CESSAÇÃO 
A licença concedida é válida até à cessação do contrato. O 
adquirente pode cessar o contrato em qualquer momento, devolvendo 
o Software (incluindo partes ou cópias do mesmo) à Creative. A 
licença cessa automaticamente sem necessidade de aviso prévio por 
parte da Creative se o adquirente não observar qualquer dos termos 
ou condições incluídos neste Contrato. O adquirente concorda em 
devolver o Software à Creative (incluindo partes ou cópias do 
mesmo, se assim for o caso) no momento da cessação do contrato. 
A Creative pode ainda fazer uso, no momento da cessação, de 
quaisquer direitos que lhe sejam conferidos pela lei. As 
disposições do presente Contrato que protegem os direitos de 
propriedade da Creative continuarão em vigor após a cessação.

GARANTIA LIMITADA
A Creative garante, como única garantia dada ao adquirente, que os
discos nos quais o Software é fornecido estão isentos de defeitos, 
tal como indicado na Garantia ou no manual impresso que acompanha o 
Software. A garantia e as restantes disposições deste Contrato não 
poderão ser alargadas nem alteradas por nenhum distribuidor, 
revendedor ou qualquer outra entidade ou pessoa. A Creative não 
poderá ser responsável por quaisquer representações ou declarações 
não incluídas no Contrato.

A Creative não garante que as funções contidas no Software 
satisfaçam os requisitos do adquirente nem que o funcionamento do 
Software seja ininterrupto, isento de erros ou isento de código 
malicioso. Neste parágrafo, "código malicioso" significa qualquer 
código de programa concebido para contaminar outros programas de 
computador ou dados de computador, consumir recursos do computador, 
modificar, destruir, registar ou transmitir dados ou de qualquer 
outra forma usurpar o funcionamento normal do computador, sistema 
informático ou  rede de computadores, incluindo vírus, cavalos de 
tróia, droppers, worms, bombas lógicas e afins.

INDEMNIZAÇÃO POR PARTE DO ADQUIRENTE
Se o adquirente distribuir o Software, violando este Contrato, 
deverá indemnizar, isentar de responsabilidades e defender a Creative 
de todo e qualquer processo judicial, incluindo os honorários de 
advogados e custas legais que surjam em consequência ou estejam 
ligados ao uso ou distribuição do Software violando deste Contrato.

SALVO ACIMA DESCRITO NO CONTRATO, O 
SOFTWARE É FORNECIDO "TAL COMO ESTÁ", SEM GARANTIAS DE QUALQUER 
ESPÉCIE, EXPRESSAS OU IMPLÍCITAS, INCLUINDO, ENTRE OUTRAS, QUAISQUER 
GARANTIAS IMPLÍCITAS DE COMERCIALIZAÇÃO OU ADEQUAÇÃO A UMA DETERMINADA
FINALIDADE. A CREATIVE NÃO É OBRIGADA A FORNECER QUAISQUER 
ACTUALIZAÇÕES OU SUPORTE TÉCNICO PARA O SOFTWARE.

A Creative não será responsável pela exactidão de quaisquer 
informações fornecidas pela Creative ou pelo suporte técnico 
assegurado por terceiros nem por quaisquer danos causados, directa 
ou indirectamente, por actos ou omissões do adquirente resultantes 
desse suporte técnico. 


O adquirente responsabiliza-se pela selecção do Software necessário à 
satisfação dos resultados pretendidos, bem como pela instalação, 
utilização e resultados obtidos pelo Software. o adquirente também 
assume o risco total em relação à qualidade e desempenho do Software. 
No caso de o Software se apresentar defeituoso, o adquirente (e não 
a Creative, seus distribuidores ou revendedores) assume o custo 
integral de todos e quaisquer serviços de assistência, reparação 
ou correcção.

Esta garantia confere ao adquirente direitos legais específicos, além 
de outros direitos que lhe assistam e que podem variar conforme o 
país/estado da sua residência. Alguns países/estados não permitem a 
exclusão de garantias implícitas, pelo que a exclusão supra pode não 
ser aplicável. A Creative não se responsabiliza por quaisquer 
garantias se o Software tiver sido personalizado, re-empacotado ou 
de outra forma alterado por quaisquer outros terceiros além da Creative.

LIMITAÇÃO DE MEDIDAS DE REPARAÇÃO E DANOS
AS ÚNICAS MEDIDAS DE REPARAÇÃO POR QUEBRA DE GARANTIA SERÃO AS 
DEFINIDAS NO CARTÃO DE GARANTIA OU NO MANUAL FORNECIDOS COM O 
SOFTWARE. A CREATIVE OU OS SEUS REPRESENTANTES NÃO PODERÃO SER 
RESPONSABILIZADOS POR QUAISQUER DANOS INDIRECTOS, FORTUITOS OU 
ESPECIAIS, NEM POR QUALQUER PERDA DE LUCROS, DE UTILIZAÇÃO, DE 
RENDIMENTO, DE CAPITAL OU DE DADOS, DECORRENTE OU RELACIONADA COM 
O SOFTWARE OU COM O PRESENTE CONTRATO, MESMO SE A CREATIVE OU OS 
SEUS REPRESENTANTES TIVEREM SIDO AVISADOS DA POSSIBILIDADE DE 
OCORRÊNCIA DE TAIS DANOS.  EM CIRCUNSTÂNCIA ALGUMA PODERÁ A 
RESPONSABILIDADE DA CREATIVE,OU OS DANOS DEVIDOS AO ADQUIRENTE 
OU A QUALQUER OUTRA ENTIDADE, EXCEDER O MONTANTE PAGO PELO 
ADQUIRENTE PARA A UTILIZAÇÃO DO SOFTWARE, INDEPENDENTEMENTE
DA FORMA OU NATUREZA DA RECLAMAÇÃO.

Alguns países/estados não permitem a limitação ou exclusão de 
responsabilidade por danos fortuitos ou indirectos, pelo que a 
limitação ou exclusão supra podem não ser aplicáveis.

DEVOLUÇÃO DO PRODUTO
Se for necessário enviar o software à Creative ou a um seu distribuidor 
ou revendedor autorizado, compete ao adquirente suportar os custos 
de envio e segurar o software ou assumir quaisquer riscos por perdas 
e danos durante o transporte.

DIREITOS RESTRITOS DO GOVERNO DOS E. U. A
Todo o Software e documentação relacionada são fornecidos com 
restrição de direitos. A sua utilização, duplicação ou divulgação 
pelo governo dos E. U. A. está sujeita a restrições, tal como se 
encontra disposto na subdivisão (b)(3)(ii) de "Rights in Technical 
Data and Computer Software Clause",  252.227-7013. No caso de 
sub-licenciamento ou utilização do Software fora dos Estados Unidos, 
devem ser observadas as leis do país em questão, a legislação que 
rege o controlo de exportações dos E, U. A. e a versão em língua 
inglesa do presente Contrato.

DISPOSIÇÕES GERAIS
O presente Contrato obriga o adquirente e os seus empregados, 
entidade patronal, empresas colaborando sob contrato, agências, 
bem como quaisquer sucessores e cessionários. Nem o Software nem 
quaisquer informações nele contidas podem ser exportados excepto 
em estrita observância da legislação dos E. U. A. e de outras 
disposições aplicáveis. O presente Contrato rege-se pelas leis 
do Estado da Califórnia (excepto no que a legislação federal 
determina em termos de copyright, de direitos de autor e de marcas 
registadas a nível federal). O presente Contrato constitui a 
totalidade do acordo existente entre as partes e o adquirente 
concorda que a Creative não terá qualquer responsabilidade por 
qualquer declaração ou representação falsa efectuada pela Creative,
respectivos agentes ou por qualquer outra pessoa (de forma inocente ou 
negligente) e na qual o adquirente confiou ao firmar este Contrato, 
excepto se a referida declaração ou representação falsa tiver sido 
emitida de forma fraudulenta. Este Contrato revoga quaisquer outras 
conversações ou acordos, incluindo, entre outros, os relativos a 
publicidade, incidentes sobre o Software. Caso alguma disposição 
do presente Contrato seja declarada inválida ou não aplicável por 
qualquer país ou organismo governamental competente para o efeito, 
tal disposição considerar-se-á alterada no que seja estritamente 
necessário para a tornar válida e aplicável; as restantes 
disposições manter-se-ão válidas e aplicáveis.

a Creative no endereço acima indicado. Para questões sobre o 
produto ou assuntos de natureza técnica, é favor contactar o 
centro de assistência técnica Creative mais próximo.

ADENDA AO CONTRATO DE LICENÇA DE SOFTWARE DA MICROSOFT
======================================================
IMPORTANTE: Ao utilizar os ficheiros de software da Microsoft (o 
"Software Microsoft") fornecido ao abrigo desta Adenda, o adquirente 
concorda em ficar vinculado aos seguintes termos. Se o adquirente 
não concordar em ficar vinculado a estes termos, não poderá utilizar 
o Software Microsoft.

O Software Microsoft é fornecido com o único objectivo de substituir 
os ficheiros correspondentes fornecidos com uma cópia anteriormente 
licenciada do produto de Software Microsoft("PRODUTO ORIGINAL"). 
Após a instalação, os ficheiros de Software Microsoft tornam-se 
parte do PRODUTO ORIGINAL e ficam sujeitos aos mesmos termos e 
condições de garantia e licença que o PRODUTO ORIGINAL. Se o 
adquirente não for detentor de uma licença válida para utilizar 
o PRODUTO ORIGINAL, não poderá utilizar o Software Microsoft. É
proibida qualquer outra utilização do Software Microsoft.

Nada neste Contrato deverá ser interpretado como advogando ou 
autorizando a violação das leis locais e/ou internacionais 
aplicáveis à jurisdição do adquirente, por parte da Creative.


DISPOSIÇÕES ESPECIAIS APLICÁVEIS À UNIÃO EUROPEIA
=================================================
Se o Software tiver sido adquirido na União Europeia (UE), são 
também aplicáveis as disposições que se seguem. Em caso de conflito 
entre os termos do Contrato de Licença de Software atrás exposto e 
as disposições que a seguir se apresentam, estas prevalecem.

Descompilação:
O adquirente obriga-se a não transmitir nem divulgar, quaisquer que 
sejam as circunstâncias, o código-objecto do Software em qualquer 
ecrã de computador, bem como a não o transpor da memória do Software 
para papel. Mesmo que o adquirente considere ter necessidade de
informações relacionadas com a interoperacionalidade entre o Software 
e outros programas, não poderá descompilar nem desassemblar o 
Software para as obter. Mais concorda em solicitar as informações 
pertinentes à Creative, dirigindo o seu pedido para o endereço
atrás indicado. Caberá à Creative, ao receber tal pedido, determinar 
se as informações solicitadas se destinam a preencher uma finalidade 
legítima e, em caso afirmativo, fornecê-las ao adquirente mediante 
condições e dentro de um prazo considerados razoáveis.

Garantia limitada: 
EXCEPTUANDO O ACIMA EXPOSTO NESTE CONTRATO, E DE ACORDO COM AS 
DISPOSIÇÕES REUNIDAS SOB O TÍTULO "DIREITOS ESTATUTÁRIOS", O SOFTWARE 
É FORNECIDO "TAL COMO ESTÁ", SEM GARANTIAS DE QUALQUER ESPÉCIE, 
EXPRESSAS OU IMPLÍCITAS, INCLUINDO, ENTRE OUTRAS, QUAISQUER GARANTIAS
OU CONDIÇÕES IMPLÍCITAS DE COMERCIALIZAÇÃO, QUALIDADE OU ADEQUAÇÃO A 
UMA DETERMINADA FINALIDADE.

Limitação de Medidas de Reparação e Danos:
A LIMITAÇÃO DE MEDIDAS DE REPARAÇÃO E DANOS INCLUÍDOS NO CONTRATO 
DE LICENÇA DO SOFTWARE NÃO SE APLICAM A DANOS PESSOAIS (INCLUINDO 
MORTE) CAUSADOS POR NEGLIGÊNCIA DA CREATIVE E ESTÃO SUJEITAS ÀS 
DISPOSIÇÕES REUNIDAS SOB O TÍTULO "DIREITOS ESTATUTÁRIOS".

Direitos estatutários:
A legislação da República da Irlanda prevê que determinadas 
condições e garantias possam estar implícitas em contratos relativos 
à venda de bens e ao fornecimento de serviços. Essas condições e 
garantias são, pelo presente, excluídas, desde que, no contexto da
presente transacção, essa exclusão se enquadre na legislação da 
República da Irlanda. Paralelamente, essas condições e garantias, 
na medida em que não possam ser legalmente excluídas, continuarão 
a ser aplicáveis. Assim, nada no teor do presente Contrato poderá

             CREATIVE END-USER SOFTWARE LICENSE AGREEMENT
                       Version 2.5, July 2001

PLEASE READ THIS DOCUMENT CAREFULLY BEFORE INSTALLING THE 
SOFTWARE. BY INSTALLING AND USING THE SOFTWARE, YOU AGREE TO 
BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE 
TO THE TERMS OF THE AGREEMENT, DO NOT INSTALL OR USE THE 
SOFTWARE. PROMPTLY RETURN, WITHIN 15 DAYS, THE SOFTWARE, ALL 
RELATED DOCUMENTATION AND ACCOMPANYING ITEMS TO THE PLACE OF 
ACQUISITION FOR A REFUND.

This is a legal agreement between you and Creative Technology 
Ltd. and its subsidiaries ("Creative"). This Agreement states 
the terms and conditions upon which Creative offers to license 
the software sealed in the disk package together with all related 
documentation and accompanying items including, but not limited 
to, the executable programs, drivers, libraries and data files 
associated with such programs (collectively, the "Software").

LICENSE
1.  Grant of License.
    The Software is licensed, not sold, to you for use only under 
    the terms of this Agreement. You own the disk or other media 
    on which the Software is originally or subsequently recorded 
    or fixed; but, as between you and Creative (and, to the extent 
    applicable, its licensors), Creative retains all title to and 
    ownership of the Software and reserves all rights not expressly 
    granted to you.
    The license under this Section 1 is conditioned upon your 
    compliance with all of your obligations under this Agreement. 
    Creative grants to you the right to use all or a portion of this 
    Software provided that 
    (a) the Software is not distributed for profit;
    (b) the Software is used only in conjunction with Creative's 
        family of products; 
    (c) the Software may NOT be modified;
    (d) all copyright notices are maintained on the Software; and 
    (e) the licensee/end-user agrees to be bound by the terms of this 
        Agreement.

2.  For Use on a Single Computer.
    The Software may be used only on a single computer by a single
    user at any time.  You may transfer the machine-readable portion 
    of the Software from one computer to another computer, provided 
    that 
    (a) the Software (including any portion or copy thereof) is 
        erased from the first computer and 
    (b) there is no possibility that the Software will be used on 
        more than one computer at a time.

3.  Stand-Alone Basis.
    You may use the Software only on a stand-alone basis, such that 
    the Software and the functions it provides are accessible only 
    to persons who are physically present at the location of the 
    computer on which the Software is loaded. You may not allow 
    the Software or its functions to be accessed remotely, or 
    transmit all or any portion of the Software through any network 
    or communication line.

4.  Copyright. 
    The Software is owned by Creative and/or its licensees, and is 
    protected by United States copyright laws and international 
    treaty provisions. You may not remove the copyright notice from 
    any copy of the Software or any copy of the written materials, 
    if any, accompanying the Software.

5.  One Archival Copy.
    You may make one (1) archival copy of the machine-readable 
    portion of the Software for backup purposes only in support of 
    your use of the Software on a single computer, provided that 
    you reproduce on the copy all copyright and other proprietary 
    rights notices included on the originals of the Software.

6.  No Merger or Integration.
    You may not merge any portion of the Software into, or 
    integrate any portion of the Software with, any other program, 
    except to the extent expressly permitted by the laws of the 
    jurisdiction where you are located. Any portion of the 
    Software merged into or integrated with another program, if any, 
    will continue to be subject to the terms and conditions of this 
    Agreement, and you must reproduce on the merged or integrated 
    portion all copyright and other proprietary rights notices 
    included in the originals of the Software.

7.  Network Version.
    If you have purchased a "network" version of the Software, this 
    Agreement applies to the installation of the Software on a 
    single "file server". It may not be copied onto multiple 
    systems. Each "node" connected to the "file server" must also 
    have its own license of a "node copy" of the Software, which 
    becomes a license only for that specific "node".

8.  Transfer of License.
    You may transfer your license of the Software, provided that 
    (a) you transfer all portions of the Software or copies thereof, 
    (b) you do not retain any portion of the Software or any copy 
        thereof, and 
    (c) the transferee reads and agrees to be bound by the terms and
        conditions of this Agreement.

9.  Limitations on Using, Copying, and Modifying the Software.
    Except to the extent expressly permitted by this Agreement or 
    by the laws of the jurisdiction where you acquired the Software, 
    you may not use, copy or modify the Software. Nor may you 
    sub-license any of your rights under this Agreement. You may use 
    the Software for your personal use only, and not for public 
    performance or for the creation of publicly displayed videotapes.

10. Decompiling, Disassembling, or Reverse Engineering.
    You acknowledge that the Software contains trade secrets and 
    other proprietary information of Creative and its licensors.  
    Except to the extent expressly permitted by this Agreement or by 
    the laws of the jurisdiction where you are located, you may not 
    decompile, disassemble or otherwise reverse engineer the 
    Software, or engage in any other activities to obtain underlying 
    information that is not visible to the user in connection with 
    normal use of the Software.  

    In particular, you agree not for any purpose to transmit the 
    Software or display the Software's object code on any computer 
    screen or to make any hardcopy memory dumps of the Software's 
    object code. If you believe you require information related to 
    the interoperability of the Software with other programs, you 
    shall not decompile or disassemble the Software to obtain such 
    information, and you agree to request such information from 
    Creative at the address listed below.  Upon receiving such a 
    request, Creative shall determine whether you require such
    information for a legitimate purpose and, if so, Creative will
    provide such information to you within a reasonable time and on
    reasonable conditions.

    In any event, you will notify Creative of any information derived 
    from reverse engineering or such other activities, and the results 
    thereof will constitute the confidential information of Creative 
    that may be used only in connection with the Software.

11. For Software With CDDB Features.
    This package includes applications which may contain software 
    from CDDB, Inc.of Berkeley California ("CDDB"). The software 
    from CDDB (the "CDDB Client") enables the application to do 
    online disc identification and obtain music-related information, 
    including name, artist, track and title information ("CDDB Data")
    from online servers ("CDDB Servers") and to perform other 
    functions.

    You agree that you will use CDDB Data, the CDDB Client and CDDB 
    Servers for your own personal non-commercial use only. You agree 
    not to assign, copy, transfer or transmit the CDDB Client or any 
    CDDB Data to any third party. YOU AGREE NOT TO USE OR EXPLOIT 
    CDDB DATA, THE CDDB CLIENT, OR CDDB SERVERS, EXCEPT AS EXPRESSLY 
    PERMITTED HEREIN.

    You agree that your non-exclusive license to use the CDDB Data, 
    the CDDB Client and CDDB Servers will terminate if you violate
    these restrictions. If your license terminates, you agree to 
    cease any and all use of the CDDB Data, the CDDB Client and CDDB
    Servers. CDDB reserves all rights in CDDB Data, the CDDB Client 
    and the CDDB Servers, including all ownership rights. You agree
    that CDDB, Inc. may enforce its rights under this Agreement 
    against you directly in its own name.

    The CDDB Client and each item of CDDB Data are licensed to you 
    "AS-IS." CDDB makes no representations or warranties, express or 
    implied, regarding the accuracy of any CDDB Data from in the CDDB 
    Servers. CDDB reserves the right to delete data from the CDDB
    Servers or to change data categories for any cause that CDDB 
    deems sufficient. No warranty is made that the CDDB Client or 
    CDDB Servers are error-free or that functioning of CDDB Client 
    or CDDB Servers will be uninterrupted. CDDB is not obligated to
    provide you with any new enhanced or additional data types or  
    categories that CDDB may choose to provide in the future.

    CDDB DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING, BUT
    NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS 
    FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. CDDB does 
    not warrant the results that will be obtained by your use of the
    CDDB Client or any CDDB Server. IN NO CASE WILL CDDB BE LIABLE 
    FOR ANY CONSEQUENTIAL OR INCIDENTIAL DAMAGES OR FOR ANY LOST
    PROFITS, OR LOST REVENUES.

TERMINATION
The license granted to you is effective until terminated. You may 
terminate it at any time by returning the Software (including any 
portions or copies thereof) to Creative. The license will also 
terminate automatically without any notice from Creative if you fail 
to comply with any term or condition of this Agreement. You agree 
upon such termination to return the Software (including any portions 
or copies thereof) to Creative. Upon termination, Creative may also 
enforce any rights provided by law. The provisions of this 
Agreement that protect the proprietary rights of Creative will 
continue in force after termination.

LIMITED WARRANTY
Creative warrants, as the sole warranty, that the disks on which the 
Software is furnished will be free of defects, as set forth in the 
Warranty Card or printed manual included with the Software. No 
distributor, dealer or any other entity or person is authorized to 
expand or alter this warranty or any other provisions of this 
Agreement. Any representation, other than the warranties set forth 
in this Agreement, will not bind Creative.

Creative does not warrant that the functions contained in the 
Software will meet your requirements or that the operation of the 
Software will be uninterrupted, error-free or free from malicious 
code. For purposes of this paragraph, "malicious code" means any 
program code designed to contaminate other computer programs or 
computer data, consume computer resources, modify, destroy, record, 
or transmit data, or in some other fashion usurp the normal operation 
of the computer, computer system, or computer network, including 
viruses, Trojan horses, droppers, worms, logic bombs, and the like. 

INDEMNIFICATION BY YOU
If you distribute the Software in violation of this Agreement, you 
hereby indemnify, hold harmless and defend Creative from and against 
any and all claims or lawsuits, including attorney's fees and costs 
that arise, result from or are connected with the use or distribution 
of the Software in violation of this Agreement.

EXCEPT AS STATED ABOVE IN THIS AGREEMENT, THE SOFTWARE IS PROVIDED 
AS-IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, 
INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF 
MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. CREATIVE IS 
NOT OBLIGATED TO PROVIDE ANY UPDATES, UPGRADES OR TECHNICAL 
SUPPORT FOR THE SOFTWARE.  

Further, Creative shall not be liable for the accuracy of any 
information provided by Creative or third-party technical support 
personnel, or any damages caused, either directly or indirectly, by 
acts taken or omissions made by you as a result of such technical 
support. 

You assume full responsibility for the selection of the Software to 
achieve your intended results, and for the installation, use and 
results obtained from the Software. You also assume the entire 
risk as it applies to the quality and performance of the Software.  
Should the Software prove defective, you (and not Creative, or its 
distributors or dealers) assume the entire cost of any and all 
necessary servicing, repair or correction.

This warranty gives you specific legal rights, and you may also 
have other rights which vary from country/state to country/state.  
Some countries/states do not allow the exclusion of implied 
warranties, so the above exclusion may not apply to you. Creative 
disclaims all warranties of any kind if the Software was 
customized, repackaged or altered in any way by any third party 
other than Creative.

LIMITATION OF REMEDIES AND DAMAGES
THE ONLY REMEDY FOR BREACH OF WARRANTY WILL BE THAT SET FORTH
IN THE WARRANTY CARD OR MANUAL INCLUDED WITH THE SOFTWARE. 
IN NO EVENT WILL CREATIVE OR ITS LICENSORS BE LIABLE FOR ANY 
INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR FOR ANY
LOST PROFITS, LOST SAVINGS, LOSS OF USE, LOST REVENUES OR LOST DATA 
ARISING FROM OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF 
CREATIVE OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF
SUCH DAMAGES. IN NO EVENT WILL CREATIVE'S LIABILITY OR DAMAGES TO
YOU OR ANY OTHER PERSON EVER EXCEED THE AMOUNT PAID BY YOU TO USE
THE SOFTWARE, REGARDLESS OF THE FORM OF THE CLAIM.  

Some countries/states do not allow the limitation or exclusion of 
liability for incidental or consequential damages, so the above 
limitation or exclusion may not apply to you.

PRODUCT RETURNS
If you must ship the software to Creative or an authorized Creative 
distributor or dealer, you must prepay shipping and either insure 
the Software or assume all risk of loss or damage in transit.

U.S. GOVERNMENT RESTRICTED RIGHTS
All Software and related documentation are provided with restricted 
rights. Use, duplication or disclosure by the U.S. Government is 
subject to restrictions as set forth in subdivision (b)(3)(ii) of 
the Rights in Technical Data and Computer Software Clause at 
252.227-7013. If you are sub-licensing or using the Software 
outside of the United States, you will comply with the applicable 
local laws of your country, U.S. export control law, and the 
English version of this Agreement.

CONTRACTOR/MANUFACTURER

GENERAL
This Agreement is binding on you as well as your employees, 
employers, contractors and agents, and on any successors and 
assignees. Neither the Software nor any information derived 
therefrom may be exported except in accordance with the laws of 
the U.S. or other applicable provisions. This Agreement is 
governed by the laws of the State of California (except to the 
extent federal law governs copyrights and federally registered 
trademarks). This Agreement is the entire agreement between us 
and you agree that Creative will not have any liability for any 
untrue statement or representation made by it, its agents or 
anyone else (whether innocently or negligently) upon which you 
relied upon entering this Agreement, unless such untrue statement 
or representation was made fraudulently. This Agreement supersedes 
any other understandings or agreements, including, but not limited 
to, advertising, with respect to the Software. If any provision of 
this Agreement is deemed invalid or unenforceable by any country or 
government agency having jurisdiction, that particular provision 
will be deemed modified to the extent necessary to make the provision 
valid and enforceable, and the remaining provisions will remain in 
full force and effect.

ADDENDUM TO THE MICROSOFT SOFTWARE LICENSE AGREEMENT

IMPORTANT: By using the Microsoft software files (the "Microsoft 
Software") provided with this Addendum, you are agreeing to be bound 
by the following terms. If you do not agree to be bound by these terms, 
you may not use the Microsoft Software.

The Microsoft Software is provided for the sole purpose of replacing 
the corresponding files provided with a previously licensed copy of 
the Microsoft software product ("ORIGINAL PRODUCT"). Upon installation, 
the Microsoft Software files become part of the ORIGINAL PRODUCT and 
are subject to the same warranty and license terms and conditions as 
the ORIGINAL PRODUCT. If you do not have a valid license to use the 
ORIGINAL PRODUCT, you may not use the Microsoft Software. Any other 
use of the Microsoft Software is prohibited.

Nothing in this Agreement shall be construed on the part of Creative 
as advocating or authorising the infringement of local and/or 
international laws applicable to your jurisdiction.

SPECIAL PROVISIONS APPLICABLE TO THE EUROPEAN UNION

If you acquired the Software in the European Union (EU), the 
following provisions also apply to you. If there is any 
inconsistency between the terms of the Software License Agreement 
set out earlier and the following provisions, the following 
provisions shall take precedence.

Decompilation:
You agree not for any purpose to transmit the Software or display 
the Software's object code on any computer screen or to make any 
hard copy memory dumps of the Software's object code. If you 
believe you require information related to the interoperability 
of the Software with other programs, you shall not decompile or 
disassemble the Software to obtain such information, and you agree 
to request such information from Creative at the address listed 
earlier. Upon receiving such a request, Creative shall determine 
whether you require such information for a legitimate purpose and, 
if so, Creative will provide such information to you within a 
reasonable time and on reasonable conditions.

Limited Warranty:
EXCEPT AS STATED EARLIER IN THIS AGREEMENT, AND AS PROVIDED 
UNDER THE HEADING "STATUTORY RIGHTS", THE SOFTWARE IS PROVIDED 
AS-IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, 
INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR 
CONDITIONS OF MERCHANTABILITY, QUALITY OR FITNESS FOR A 
PARTICULAR PURPOSE.

Limitation of Remedy and Damages:
THE LIMITATIONS OF REMEDIES AND DAMAGES IN THE SOFTWARE LICENSE 
AGREEMENT SHALL NOT APPLY TO PERSONAL INJURY (INCLUDING DEATH) 
TO ANY PERSON CAUSED BY CREATIVE'S NEGLIGENCE AND ARE SUBJECT TO 
THE PROVISION SET OUT UNDER THE HEADING "STATUTORY RIGHTS".

Statutory rights:
Irish law provides that certain conditions and warranties may be 
implied in contracts for the sale of goods and in contracts for 
the supply of services. Such conditions and warranties are hereby 
excluded, to the extent such exclusion, in the context of this 
transaction, is lawful under Irish law. Conversely, such conditions 
and warranties, insofar as they may not be lawfully excluded, shall 
apply. Accordingly nothing in this Agreement shall prejudice any 
rights that you may enjoy by virtue of Sections 12, 13, 14 or 15 of 
the Irish Sale of Goods Act 1893 (as amended).

General:
This Agreement is governed by the laws of the Republic of Ireland. 
The local language version of this agreement shall apply to Software 
acquired in the EU. This Agreement is the entire agreement between 
us and you agree that Creative will not have any liability for any 
untrue statement or representation made by it, its agents or anyone 
else (whether innocently or negligently) upon which you relied upon 
entering this Agreement, unless such untrue statement or 
representation was made fraudulently.

COPYRIGHT INFORMATION FOR USERS OF CREATIVE PRODUCTS

Certain Creative products are designed to assist you in reproducing 
material for which you own the copyright or are authorized to copy by 
the copyright owner or by exemption in applicable law. Unless you own 
the copyright or have such authorization, you may be violating 
copyright law and may be subject to payment of damages and other 
remedies. If you are uncertain about your rights, you should contact 
your legal advisor.

It is your responsibility when using a Creative product to ensure 
there is no infringement of applicable laws on copyright whereby the 
copying of certain materials may require the prior consent of the 
copyright owners. Creative disclaims any liability with regard to any 
illegal use of the Creative product and Creative shall in no event be 
liable with regard to the origin of any data stored in a compressed 
audio file.

You acknowledge and agree that the use of MP3 Codecs in real-time 
broadcasting (terrestrial, satellite, cable or other media) or 
broadcasting via Internet or other networks, such as but not limited 
to intranets etc., in pay-audio or pay-on-demand applications, is not

After your driver has been downloaded, follow these simple steps to install it.

  • Expand the archive file (if the download file is in zip or rar format).

  • If the expanded file has an .exe extension, double click it and follow the installation instructions.

  • Otherwise, open Device Manager by right-clicking the Start menu and selecting Device Manager.

  • Find the device and model you want to update in the device list.

  • Double-click on it to open the Properties dialog box.

  • From the Properties dialog box, select the Driver tab.

  • Click the Update Driver button, then follow the instructions.

Very important: You must reboot your system to ensure that any driver updates have taken effect.
