DriverGuide Installer End-User License Agreement

This Installer is freeware.

Please read and accept this Licensing Agreement before installing and using the software. By downloading and/or running the DriverGuide Installer, you are indicating that you have read this agreement, you understand it, and you consent to be bound by all of its terms and conditions.
iCentric Corporation, parent company of  DriverGuide.com, grants its users a free non-exclusive and non-transferable license (hereinafter, the License) to use the software named DriverGuide Installer.

1. Purpose and technical requirements

DriverGuide Installer is an executable program that enables you to easily download and/or install device driver files and other files from DriverGuide.com.

When you run DriverGuide Installer, you implicitly accept the terms and conditions herein, and that you know about DriverGuide Installer and run it under your own responsibility.

iCentric Corporation reserves the right from time to time to update and amend this Software License and any enclosed reference documents.

When DriverGuide Installer is run, a browser toolbar will be offered, and it shall change the User’s browser home page, default search settings and 404 error traffic, in the event the User selects such options.

The DriverGuide Installer  is NOT installed on the User’s computer, the User must only manually delete the Software executable file to remove it.

The DriverGuide Installer is intended for use on computers running Windows 7, Windows Vista, or Windows XP.


2. Copyright & License Conditions

iCentric Corporation is the sole owner of the DriverGuide Installer copyright.

iCentric Corporation is the sole owner of the DriverGuide Installer copyright and distribution rights. The copyright includes the 'look and feel' of the DriverGuide Installer software. This agreement is a license to use DriverGuide Installer and does not imply a transfer of ownership of the rights thereto.

You may not alter, modify, translate, reverse engineer, reverse compile, reverse assemble, create derivative works from, or otherwise attempt to discover any source code of the DriverGuide Installer.

You may not utilize the DriverGuide Installer for any purpose other than to download content from DriverGuide.com, including, without, limitation any non-personal or commercial use of the DriverGuide Installer.

You may not make any automated use of the DriverGuide Installer (such as through scripts, data mining, robots, screen scraping, or similar data gathering and extraction tools) or interfere with, disrupt or create an undue burden on DriverGuide.com or the networks or services connected to the DriverGuide Installer.

You may not modify the DriverGuide Installer in any manner or form, or use modified versions of the DriverGuide Installer for any purposes including, without limitation, obtaining unauthorized access to DriverGuide.com, or defeating or overcoming any encryption and/or technical protection methods implemented by iCentric Corporation with respect to DriverGuide.com and/or content or data processed or transmitted by the DriverGuide Installer;

You may not interfere with or in any manner compromise any of iCentric Corporation’s security measures in the DriverGuide Installer and/or DriverGuide.com.

A breach of any of the terms and conditions of this License shall be construed as a breach of this Agreement.



3. Downloads

You acknowledge and agree that all files downloaded and/or installed using the DriverGuide Installer are NOT covered under this License Agreement. You acknowledge and agree that such files are subject to the DriverGuide.com Terms of Use, and you agree to use such files in accordance therewith.


4. Warranties and liabilities

You shall use DriverGuide Installer according to the terms and conditions herein. The DriverGuide Installer is provided "as is" and “as available”. iCentric Corporation shall not be liable for any damages arising from your use of DriverGuide Installer in a manner contrary to this Software License.

You exonerate iCentric Corporation from any liability arising from an improper execution of DriverGuide Installer or the malfunction of DriverGuide Installer arising from the manner in which you ran the software. The said exoneration from liability shall extend to iCentric Corporation's employees and management.

iCentric Corporation states that this license to use DriverGuide Installer does not infringe any previous agreement or current legislation.

iCentric Corporation warrants that DriverGuide Installer DOES NOT contain Spyware or Adware. iCentric Corporation also warrants that DriverGuide Installer DOES NOT show pop-ups or collect users’ personal data without permission.

iCentric Corporation does not guarantee the availability, continuity and failure-proof functioning of DriverGuide Installer. Therefore, insofar as the law allows, this warranty does not include any damages arising from the lack of availability or discontinued functioning of DriverGuide Installer and any services enabled with it.

iCentric Corporation does not assume liability in the event of an unforeseeable circumstance or force majeure. Likewise, iCentric Corporation shall not be liable for any causes beyond reasonable control, such as viruses and interference by third parties.

You shall not hold iCentric Corporation liable for the intellectual property rights, distribution rights, integrity, quality and execution of the computer software downloaded with DriverGuide Installer.

You state that you are aware that iCentric Corporation may not have a relationship of any nature with the owners of the device drivers or other files you download and/or install with DriverGuide Installer. You shall not hold iCentric Corporation liable for any claims against you for your use or possession of the device drivers or other files downloaded with DriverGuide Installer, including, but not limited to claims for libel, violations of publicity or data protection rights, intellectual property rights, trademark rights, and any other claim or complaint with regard to the content, quality and functioning of the said software.

Download and/or installation of device driver files or other files using the DriverGuide Installer is undertaken by you entirely at your own risk.  iCentric Corporation does not warrant that these files will not cause damage to your computer system, network, software or other technology. iCentric Corporation does not warrant or represent that these files will be free of viruses or other harmful features. iCentric Corporation disclaims all warranties, express or implied, including any implied warranties of merchantability and fitness for a particular purpose, regarding these files.

iCentric Corporation will not be liable for any indirect, incidental, punitive, special, consequential or exemplary damages (even if iCentric Corporation has been advised of the possibility of such damages) of any kind arising from your use of the DriverGuide Installer or content, information, materials or products included on or otherwise made available to you through the DriverGuide Installer, or for any damages resulting thereof.

iCentric Corporation shall use reasonable efforts to protect personal information submitted by you in connection with the DriverGuide Installer, but you acknowledge and agree that your submission of any information is at your sole risk, and to the maximum amount permitted by law, iCentric Corporation hereby disclaims any and all liability to you for any loss or liability relating to such information in any way.


5. Term

The term of this Agreement commences with your acceptance hereof. iCentric Corporation shall have the right to restrict, suspend or terminate this Agreement at its own discretion, either in full or in part, at any moment and for any reason, with no prior warning or liability.

This Agreement and, therefore, the License, shall terminate the moment you incur in a breach of the terms and conditions herein. You must delete any copies of DriverGuide Installer in your possession at the time when this Agreement ends.

You may terminate this agreement at any time by permanently uninstalling, deleting and destroying your copies of the DriverGuide Installer.


6. Applicable law and jurisdiction

This agreement will be governed by and construed in accordance with the laws of the State of California, USA, without giving effect to the conflict of laws provisions of California or your actual state or country of residence. Any claim or controversy in any way arising out of or relating to this agreement will be filed in a court of competent jurisdiction sitting in Los Angeles County, California and you consent to exclusive jurisdiction in that county.
