IMPORTANT

This User License Agreement ("ULA") is a legal agreement between you and Citizen Systems Co., Ltd. ("CSJ") and governs your use of CSJ drivers, utilities and PDF files("DRIVER"). Your use of the DRIVER is deemed to be your acceptance of the Terms and Conditions of this ULA set out below. 
You only may use the DRIVER if you agree to abide by the following Terms and Conditions. If you decline to agree, you are not authorized to use the DRIVER.

Terms and Conditions

1.Ownership.
All rights, titles and interest in and to the DRIVER, its copy and the documents associated therewith are owned by CSJ or such party which is authorized by CSJ the ownership of the rights, titles and interest in the relevant part of the DRIVER. These rights to the DRIVER are licensed to you as prescribed in the Article 2. In no event should it be construed as an expression to assign or sell any copyrights of or any other intellectual property rights to the DRIVER from CSJ to you.

2.Grant of License.
2.1�@CSJ grants you a non-exclusive, non-transferable license to install and use the DRIVER within the country of your present domicile.
2.2�@CSJ further grants you a license to make only one (1) back-up copy of the DRIVER at all times.
2.3�@Except for expressly stipulated in Sections 2.1 and 2.2 above, no license relating to the DRIVER is granted. You may not, (i) make any copies of the DRIVER except as expressly permitted in accordance with Section 2.2 of this ULA, (ii) modify the DRIVER, (iii) reverse engineer, disassemble, decompile or use the DRIVER to create any derivative DRIVER, (iv) rent, lease or sublicense the DRIVER in all or in part, (v) distribute or make available the DRIVER to the public in all or in part, or (vi) use, remove or alter any notices, marks or labels relating to trade names, trademarks, copyrights or other intellectual property rights presented or displayed in or by the DRIVER.
2.4�@CSJ may at its discretion modify or update the DRIVER.

3.Disclaimer of Warranties.
TO THE EXTENT ALLOWED BY LAW, THIS DRIVER IS PROVIDED TO YOU "AS IS" WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER ORAL OR WRITTEN, EXPRESS OR IMPLIED. CSJ SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, NON-INFRINGEMENT AND/OR FITNESS FOR A PARTICULAR PURPOSE.

4. Disclaimer of Liability.
IN NO EVENT SHALL CSJ BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF USE OF DATA, INTERRUPTION OF BUSINESS, OR FOR INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND, ARISING OUT OF THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THE DRIVER, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE. YOUR USE OF THE DRIVER IS ENTIRELY AT YOUR OWN RISK. SHOULD THE DRIVER PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL SERVICE, REPAIR OR CORRECTION AND, TO THE EXTENT PERMITTED BY THE APPLICABLE LAW, YOU AGREE TO UNCONDITIONALLY WAIVE ALL STATUTORY OR OTHER RIGHTS THAT MAY BE HELD BY YOU AGAINST CSJ IN RESPECT OF SUCH DEFECT. Notwithstanding the above, these terms do not purport to limit the statutory rights of a consumer that cannot be waived under the applicable law.

5.Term.
This ULA will become effective upon your acceptance and continue in effect unless you cease to use the DRIVER. However, CSJ retains the right to terminate this ULA without cause or notice.

6.Governing Law.
This ULA is governed by and construed in accordance with the laws of Japan. If any of the provisions of this ULA shall be declared void, such provisions shall be severable and independent from the other provisions of this ULA, and the validity of the other provisions and of the entire ULA shall not be affected.
