SOFTWARE LICENSE AGREEMENT

SmartDeviceMonitor for Client

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND THE MANUFACTURER OF THE SOFTWARE SET FORTH ABOVE ("COMPANY").
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE ABOVE.
BY USING THE SOFTWARE, YOU ARE DEEMED TO AGREE TO ABIDE BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.

1. The COMPANY grants you a nonexclusive, non-transferable, limited license to use the Software under terms and conditions of this Agreement. You are not entitled to  any rights other than those granted by this Agreement.

2. You may install and use the Software on a computer only for the products which you have purchased from the Company, its subsidiary, or their distributor or retailer.

3. You may not copy, modify, analyze, transfer or merge with other software all or part of the Software except as provided in the instruction manual on use of the Software.

4. You may not loan, rent, lease, sublicense distribute or otherwise transfer the Software to any third party without prior written consent by the COMPANY.

5. THE COMPANY, ITS SUBSIDIARIES, THEIR DISTRIBUTORS OR DEALERS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSENON AND NON-INFRINGEMEN, WITH RESPECT TO THE SOFTWARE, AND SHALL NOT BE LIABLE OR RESPONSIBLE FOR YOUR SELECTION, INTRODUCTION, OF USE OF THE SOFTWARE OR THE RESULT THEREOF.

THE COMPANY, ITS SUBSIDIARIES, THEIR DISTRIBUTORS OR DEALERS SHALL HAVE NO OBLIGATION TO INDEMNITY YOU AGAINST ANY CLAIM OR SUIT BROUGHT BY A THIRD PARTY ALLEGING THAT THE SOFTWARE OR THE USE THEREOF INFRINGES ANY INTELLECTUAL PROPERTY OF SUCH THIRD PARTY.

6. THE COMPANY, ITS SUBSIDIARIES, THEIR DISTRIBUTORS OR DEALERS ARE NOT LIABLE FOR ANY LOSS OR DAMAGE INCLUDING CONSEQUENTIAL OR INCIDENTAL LOSS OR DAMAGE SUCH AS LOSS OR PROFITS, EXPENSE OR INCONVENIENCE, WHATSOEVER CAUSED BY OR ARISING OUT OF THE SOFTWARE OR THE USE THEREOF, EVEN IF THE COMPNY ITS SUBSIDIARIES, THEIR DISTRIBUTORS OR DEALERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. The copyright and all other intangible property rights pertaining to the Software shall belong to our company and its suppliers, and those rights shall not be transferred to you.  Furthermore, the rights of the Software and all of its copies shall belong to our company and its suppliers.

8. You shall cause any person who uses or accesses the Software to comply with the terms and conditions of this Agreement.

9. You may terminate this Agreement by destroying the Software and all copies  thereof.

10. You may not export or re-export all or part of the Software, directly or indirectly, without obtaining necessary approval of the relevant government(s). You shall comply with laws and regulations applicable to export or re-export of the Software.

11. This Agreement shall be governed by and construed in accordance with the laws of Japan. All disputes arising between you and the Company with respect to this Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court in Japan.

12. The COMPANY may terminate this Agreement if you fail to comply with any of the terms and conditions of this Agreement. Upon termination, you shall immediately cease the use of and destroy the Software and all copies thereof.

13. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTOOD IT, AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS HEREOF. YOU ALSO AGREE THAT THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF AGREEMENT BETWEEN YOU AND THE COMPANY CONCERNING THE SUBJECT MATTER HEREOF AND SUPERSEDES ALL PROPOSALS OR PRIOR AGREEMENTS, VERBAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND THE COMPANY RELATING TO THE SUBJECT MATTER HEREOF. NO AMENDMENT TO THIS AGREEMENT SHALL BE EFFECTIVE UNLESS SIGNED BY A DULY AUTHORIZED REPRESENTATIVE OF THE COMPANY.
