CAREFULLY READ THE FOLLOWING LICENSE AGREEMENT BEFORE CONTINUING WITH THIS INSTALLATION.  BY CONTINUING WITH THIS INSTALLATION YOU INDICATE YOUR ACCEPTANCE OF THE TERMS OF THIS AGREEMENT.  IF YOU DO NOT ACCEPT THE TERMS OF THIS AGREEMENT, DO NOT CONTINUE WITH THE INSTALLATION AND PROMPTLY RETURN THE ENTIRE PRODUCT TO THE PLACE YOU OBTAINED IT FOR A FULL REFUND.


DEFINITIONS
The following definitions apply to the terms of this agreement.

	S3 means S3 Incorporated , its subsidiaries and affiliates.

	Software means software provided by S3 (including, without limitation, third party Software and designed to work with, or apart from, S3 provided Software, including without limitation, drivers, extensions, applications, and user interfaces).

	Documentation means the user's manuals and other printed materials accompanying the Software.

	Product means the hardware product provided by S3 with the Software, the Software and the Documentation, together.

GRANT OF LICENSE
S3 grants to you a non-exclusive, personal license to use the Software with the hardware product provided by S3 with the Software as provided in this license.  Except as otherwise expressly provided in this agreement, you may use the Software only on a single computer owned, leased or otherwise controlled by you.  This means that you may not use the Software, and the Software may not reside, on more that one computer and/or storage device at any one time.  You may not load this single copy onto a file server that may be accessed by more than one computer, regardless of the number of computers that may access it at any one time.  You may make a copy of the Software and store it on media for backup purposes only, as long as you keep it together with this license agreement and that you do not use it in contravention to the terms and conditions of this agreement.  Immediately following this paragraph are specific license terms that may or may not apply to you, depending on the Software licensed to you.  You may not use the Software or any portion thereof for any purpose other than the purpose of acquiring and managing secure and non-secure media files as contemplated in the normal use of the Product as detailed in the Documentation. 

COPYRIGHT/PROPRIETARY INFORMATION
The Software portion of the Product is owned by S3 or its suppliers and is protected by United States and international copyright laws and international trade provisions.  You must treat the Software like any other copyrighted material.  This license and your right to use the Software shall terminate automatically if you violate any part of this agreement.  In the event of termination, you must immediately destroy all copies of the Software or return them to S3.  You also agree to refrain from modifying, translating, disassembling, decompiling, or reverse engineering the Software in whole or in part to the fullest extent permitted by applicable law.  You further agree to refrain from removing, altering, covering, obfuscating, or otherwise defacing any trademarks or copyright notices of S3 or any of its suppliers that may appear on, in or in conjunction with the Software.

LIMITED WARRANTY
S3 warrants the disks on which the Software is distributed to be free from defects in materials and workmanship and that the Software will perform substantially in accordance with the Documentation for a period of 90 days from your receipt of the Product.  Any written or oral information given by S3 dealers, distributors, agents, or employees will in no way increase the scope of this warranty.

If the Software fails to comply with the warranty set forth above, S3's entire liability and your exclusive remedy will be replacement of the disk(s) or, at S3's option, S3's reasonable effort to make the Software meet the warranty set forth above.  This limited warranty applies only if you return all copies of the Product along with a copy of your paid invoice, to S3 within 90 days of the date you received the Product.  If S3 is unable to make the Software conform to the above warranty, S3 at its option, will refund all or a fair portion of the price you paid for this Product.  Any replacement Software will be warranted for the remainder of the original 90-day warranty period or for 30 days from the date you receive the replacement, whichever is longer.  

THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.  YOU MAY HAVE OTHERS, WHICH VARY FROM STATE TO STATE.

A PORTION OF THE SOFTWARE HAS BEEN PROVIDED BY EMPEG LIMITED IN THE FORM OF MIDDLEWARE AND IN AN "AS IS" CONDITION WITHOUT WARRANTY BY S3 OR EMPEG INTERTRUST OF ANY KIND, AND, TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, S3, EMPEG LIMITED, S3'S OTHER SUPPLIERS OR ANY OF THEIR AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE, REGARDING THIS PRODUCT.  THERE IS NO WARRANTY THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE. S3, EMPEG LIMITED, S3'S OTHER SUPPLIERS OR ANY OF THEIR AGENTS DOES NOT WARRANT, GUARANTEE OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THIS PRODUCT WITH RESPECT TO ITS ACCURACY, RELIABILITY, SECURITY, CAPABILITY, CURRENTNESS, OR OTHERWISE.  NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY ANY PERSON SHALL CREATE A WARRANTY IN ANY WAY WHATSOEVER RELATING TO S3, EMPEG LIMITED, S3'S OTHER SUPPLIERS OR ANY OF THEIR AGENTS.  THE ENTIRE RISK AS TO THE USE, PERFORMANCE AND RESULTS OF THIS PRODUCT IS ASSUMED BY YOU.  THE EXCLUSION OF IMPLIED WARRANTIES IS NOT PERMITTED BY SOME JURISDICTIONS.  THUS THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

YOU ACKNOWLEDGE TO AND FOR S3, EMPEG LIMITED AND S3'S OTHER SUPPLIERS FOR THEIR BENEFIT AND THE BENEFIT OF THEIR DIRECTORS, EMPLOYEES, OR AGENTS ("AGENTS") THAT THE SOFTWARE AS WITH MOST SOFTWARE, MAY CONTAIN ERRORS WHICH MAY CAUSE IT TO OPERATE IN VARIANCE WITH ITS SPECIFICATIONS OR MAY CAUSE IT TO CEASE OPERATING UNEXPECTEDLY AND THAT IT IS NOT INTENDED FOR USE IN HAZARDOUS ENVIRIONMENTS REQUIRING FAIL-SAFE PERFORMANCE IN WHICH THE FAILURE OF THE SOFTWARE COULD LEAD TO DEATH, PERSONAL INJURY, OR PHYSICAL OR ENVIRONMENTAL DAMAGE.  S3, EMPEG LIMITED, S3'S OTHER SUPPLIERS AND ANY OF THEIR AGENTS SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY LOSS SUFFERED AS THE RESULT OF A BREACH OF SECURITY INVOLVING THE SOFTWARE, WHETHER OR NOT SUCH A BREACH RESULTS DIRECTLY FROM THE DELIBERATE, RECKLESS, OR NEGLIGENT ACTS OF ANY PERSON.

UNDER NO CIRCUMSTANCES SHALL S3, EMPEG LIMITED OR S3'S OTHER SUPPLIERS OR ANY OF THEIR AGENTS BE LIABLE FOR ANY UNAUTHORIZED USE OF ANY CONTENT OF ANY PERSON, OR ANY USE OF THE SOFTWARE TO DEVELOP, DISTRIBUTE, OR USE ANY MATERIAL THAT IS DEFAMATORY, SLANDEROUS, LIBELOUS, OR OBSCENE, THAT PORTRAYS ANY PERSON IN A FALSE LIGHT, THAT CONSTITUTES AN INVASION OF ANY RIGHT TO PRIVACY OR AN INFRINGEMENT OF ANY RIGHT TO PUBLICITY, THAT GIVES RISE TO ANY BREACH OF CONTRACT INVOLVING ANY THIRD PARTY OR TO ANY BUSINESS TORT OR SIMILAR CLAIM OF A THIRD PARTY OR ANY VIOLATION OF ANY FOREIGN, FEDERAL, STATE  OR LOCAL STATUTE OR REGULATION, OR THAT OTHERWISE CAN BE REASONABLY LIKELY TO EXPOSE S3, EMPEG, OR S3'S OTHER SUPPLIERS OR ANY OF THEIR AGENTS TO CRIMINAL OR CIVIL ACTIONS.

IN NO EVENT WILL S3, EMPEG LIMITED, S3'S OTHER SUPPLIERS OR ANY OF THEIR AGENTS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OR INABLITY TO USE THE SOFTWARE EVEN IF S3, EMPEG LIMITED, S3'S OTHER SUPPLIERS OR ANY OF THEIR AGENTS HAVE BEEN ADVISED OF THE POSSIBLITY OF SUCH DAMAGES.  BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILTIY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.  TO THE EXTENT AS APPLIED IN A PARTICULAR CIRCUMSTANCE ANY DISCLAIMER OR LIMITATION ON DAMAGES OR LIABILITY SET FORTH HEREIN IS WHOLLY PROHIBITED BY APPLICABLE LAW, THEN, INSTEAD OF THE PROVISIONS HEREOF IN SUCH PARTICULAR CIRCUMSTANCE, S3, EMPEG LIMITED, S3'S OTHER SUPPLIERS OR ANY OF THEIR AGENTS SHALL BE ENTITLED TO THE MAXIMUM DISCLAIMERS AND/OR LIMITATIONS ON DAMAGES AND LIABILITY AVAILABLE AT LAW OR IN EQUITY BY SUCH APPLICABLE LAW IN SUCH PARTICULAR CIRCUMSTANCE, IN NO EVENT TO EXCEED US$10.

ASSIGNMENT
You may not rent or lease the Software, but you may assign your rights under this agreement to a third party who agrees in writing to be bound by this agreement prior to the assignment provided that you transfer all copies of the Product, including the Software and Documentation in any form to the third party or destroy any copies not transferred.  Except as set forth above, you may not assign your rights under this agreement.  You also agree that the Software will not be shipped, transferred, or exported in any manner into any country or used in any manner prohibited by the United States Export Control Act.

GENERAL
This agreement constitutes the entire agreement between you and S3 and supersedes any prior agreement concerning the Software.  It shall not be modified except by written agreement signed by an authorized representative of S3. S3 is not bound by any provision of any purchase order, receipt, acceptance, guarantee, correspondence, or otherwise, unless S3 specifically agrees to the provision in writing.  This agreement shall be construed and governed by the laws of the State of California (except as set forth in the immediately following sentence) except the provision on conflict of laws and except as to copyrights which are governed by United States Code and international treaties.  You agree and acknowledge that empeg Limited shall be a third party beneficiary with the right to enforce those terms in this agreement that directly concern empeg's respective intellectual property rights and/or the use of empeg Limited technology respectively (where such use could adversely affect the security and/or interoperability of empeg Limited technology).  In such instances, this agreement shall be governed by the laws of the State of California, excluding (i) conflict of laws principles; (ii) the United Nations Convention on Contracts for the International Sale of Goods; (iii) the 1974 Convention on the Limitation Period in the International Sale of Goods; and (iv) the Protocol amending the 1974 Convention, done at Vienna April 11, 1980.  To the extent permitted by law, the provisions of this License Agreement shall supersede any provisions of the Uniform Commercial Code as adopted or made applicable to the Software in any competent jurisdiction.   In addition, you hereby consent to the exclusive jurisdiction of and venue in, as relevant, the state courts of the State of California and the U.S. District Court for the Northern District of California.

This agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

This agreement may be modified as may be reasonably necessary when required to protect the intellectual property rights of S3 and its suppliers in the Software or the Product to the fullest extent permitted by applicable law.  In the event that protections exist in applicable law that are not included in this agreement, this agreement shall be automatically amended to include such protections subject to the right of S3 or its suppliers rejecting the automatic inclusions of such provisions.

This agreement shall inure to the benefit of S3's suppliers of component software including but not limited to empeg Limited.

US GOVERNMENT RESTRICTED RIGHTS
The Product is provided with RESTRICTED RIGHTS.  Use, duplication, or disclosure by the government is subject to restrictions set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, and paragraph (d) of the Commercial Computer Software Restricted Rights clause at FAR 52.227-19.  The subcontractor/manufacturer is S3 Incorporated, 2841 Mission College Blvd., Santa Clara, CA 95054.
