END USER LICENSE AGREEMENT

IMPORTANT - READ THESE TERMS CAREFULLY BEFORE DOWNLOADING OR USING THE SPOTLIFE NETWORK CLIENT SOFTWARE ("SOFTWARE").  BY DOWNLOADING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS LICENSE AGREEMENT, THAT YOU UNDERSTAND IT AND THAT YOU AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.  IF YOU DO NOT AGREE, DO NOT DOWNLOAD OR USE THE SOFTWARE. 
  

GRANT OF LICENSE
Subject to the terms and conditions of this License Agreement, SpotLife, Inc. ("SpotLife") grants you a non exclusive, non-transferable license to use the Software solely for your own personal use to enable the publication of video, audio, photographic or other content through the SpotLife service (the "SpotLife Network"), as made available by SpotLife.  You acknowledge that you may be required to agree to additional terms relating to your use of the SpotLife Network. 
  
PROPRIETARY RIGHTS
You acknowledge that the Software contains proprietary and trade secret information of SpotLife.  Other than the limited license granted to you above, you have no rights, whether express or implied, in or to the Software.  SpotLife and its licensors retain all ownership and proprietary rights in and to the Software, including any copies made by you and any error corrections, updates, enhancements and other modifications provided to you.
You will have no right to and agree that you will not, nor will you authorize or assist others to: (a) disassemble, reverse engineer, decompile or otherwise attempt to discern the source code of all or any portion of the Software; (b) translate, alter, enhance, improve or otherwise modify the Software; (c) use the Software on a service bureau, time sharing basis or other remote access whereby third parties other than you can use or benefit from the use of the Software; (d) copy the documentation provided with the Software, if any; (e) distribute, copy (except that you may make one back up copy), rent, lease, sublicense, assign, sell or otherwise transfer the Software, documentation or any of your rights in the Software or documentation. 
  
DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
THE SOFTWARE IS PROVIDED BY SPOTLIFE "AS IS," AND SPOTLIFE AND ITS LICENSORS MAKE NO WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, REGARDING THE SOFTWARE AND SPECIFICALLY DISCLAIM THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND AGAINST INFRINGEMENT, TO THE MAXIMUM EXTENT ALLOWED BY LAW.  SPOTLIFE DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR BE ERROR FREE. 
IN NO EVENT SHALL SPOTLIFE OR ITS LICENSORS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, EXEMPLARY, INDIRECT, SPECIAL OR INCIDENTAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS), OR BE LIABLE TO ANY THIRD PARTY FOR ANY DAMAGES WHATSOEVER, UNDER ANY THEORY, EVEN IF SPOTLIFE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 
SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. 
  

TERMINATION
This License Agreement is effective until terminated.  You may terminate this License Agreement at any time.  This License Agreement, and your right to use the Software, automatically terminates if you fail to comply with the terms of this License Agreement.  In the event of any termination, you agree to immediately uninstall and/or destroy all copies of the Software and documentation in your possession or under your control 
  
U.S. GOVERNMENT USERS
The Software and any accompanying documentation constitute "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable, and are licensed to U.S. Government end users only as commercial items, as defined at  48 C.F.R. §2.101, and with only those rights and restrictions set forth in this Agreement. 
  
GENERAL
This License Agreement will be governed by the laws of the State of California, U.S.A., excluding the application of its conflicts of law rules.  This License Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.
If any part of this License Agreement is found void and unenforceable, it will not affect the validity of the balance of this License Agreement, which shall remain valid and enforceable according to its terms.  The failure of either party to enforce any rights granted hereunder or to take action against the other party in the event of any breach hereunder shall not be deemed a waiver as to subsequent enforcement of rights or subsequent actions in the event of future breaches. 
If any action is brought by either party to this License Agreement against the other party regarding the subject matter of this License Agreement, the prevailing party shall be entitled to recover, in addition to any other relief granted, reasonable attorney fees and expenses of litigation.  You agree that the Software will not be distributed, exported or re-exported into any country or used in any manner prohibited by the United States Export Administration Act or any other applicable export laws, restrictions or regulations.  
By downloading or using the Software, you certify that you are not a national of any country to which the United States embargoes goods and that you are not otherwise prohibited under applicable law from using the Software.  Any waiver or modification of this License Agreement shall only be effective if it is in writing and signed by SpotLife.  This is the entire agreement between you and SpotLife, and it supersedes any prior and contemporaneous agreements, whether written or oral, between you and SpotLife relating to the subject matter of this License Agreement.
