Priority Master II V2.6 Demo - End User License Agreement

This is the license statement. It is a legal agreement between you and ScheduPerformance, Inc.

If you have not already agreed to the terms and conditions of the license agreement, you are not authorized to use the software and you should erase all copies of the software and related documentation in your possession.

1. LICENSE GRANT.  ScheduPerformance, Inc. grants to you a non-exclusive license to use the Software and accompanying documentation ("Documentation") for up to 30 days as described below.

PRIORITY MASTER II ("this software and documentation") is licensed for the exclusive use of the original purchaser ("you") for use on one computer system per license only. In the case of multi-user licenses, the product must be used at the same place of residence. The only exception is for multiple addresses of the same business within a one-mile area.

This software is not copy protected. ScheduPerformance, Inc. authorizes you to make any number of backup copies of PRIORITY MASTER II for archives only. PRIORITY MASTER II may be moved from one computer system to another computer system so long as there is no  possibility of its being used at two or more locations at the same time. The documentation contained in the Online Help of all ScheduPerformance, Inc. products may not copied or reproduced in whole or part, without prior written permission.

You may not:
   * permit other individuals to use the Software
   * permit concurrent use of the Software;
   * modify, translate, reverse engineer, decompile, disassemble (except to the extent applicable laws specifically prohibit such restriction), or create derivative works based on the Software;
   * copy the Software other than as specified above;
   * rent, lease, sell, grant a security interest in, or otherwise transfer rights to the Software; or
   * remove any proprietary notices or labels on the Software.

2. "AS IS" WARRANTY.  THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

More specifically, ScheduPerformance, Inc. does not warrant that the functions included in the Software will meet your requirements or that the operation of the Software will be uninterrupted or error free. You bear the entire risk as to the use, quality and performance of the Software. Some jurisdictions do not allow the exclusion or limitation of implied warranties, so the above exclusions or limitations may not apply to you.

3. TITLE.   Title, ownership rights, and intellectual property rights in the Software shall remain in ScheduPerformance, Inc. The Software is protected by US Patent # 5,428,789, the copyright laws and treaties. Title and related rights in the content accessed through the Software is the property of the applicable content owner and may be protected by applicable law. This License gives you no rights to such content.

4. TERMINATION. The license will terminate automatically if you fail to comply with the limitations described herein or if the Service is terminated or expires. On termination of this license, you must destroy all copies of the Software and Documentation in your possession or control.

5. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL SCHEDUPERFORMANCE, INC.      OR ITS LICENSORS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY DIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES.
IN NO EVENT WILL SCHEDUPERFORMANCE, INC. BE LIABLE FOR ANY DAMAGES, EVEN IF SCHEDUPERFORMANCE, INC. SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.

6. HIGH RISK ACTIVITIES. The Software is not fault-tolerant and is not designed, manufactured or intended for use or resale as on-line control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the Software could lead directly to death, personal injury, or severe
physical or environmental damage ("High Risk Activities"). ScheduPerformance, Inc. and its licensors specifically disclaim any express or implied warranty of fitness for High Risk Activities.

7. AMENDMENT. ScheduPerformance, Inc. may, in its sole discretion, change, modify, add or remove portions of this license at any time. ScheduPerformance, Inc. may notify you of any such changes by posting notice of such changes on the Service, or sending notice via e-mail, postal mail or other means. Your continued use of the Software following notice of such change shall be deemed to be your acceptance of any such modification.
If you do not agree to any such modification, you must immediately stop using the Software.

8. MISCELLANEOUS. This Agreement represents the complete agreement concerning the subject matter hereto. If any provision of this Agreement is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable. Texas law (except for conflict of law provisions) shall govern this Agreement. The application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded.

9. Removal. At the end of the 30-Day period, all data and materials will be removed from any computer upon which the product is installed.

How To Update Drivers Manually

After your driver has been downloaded, follow these simple steps to install it.

  • Expand the archive file (if the download file is in zip or rar format).

  • If the expanded file has an .exe extension, double click it and follow the installation instructions.

  • Otherwise, open Device Manager by right-clicking the Start menu and selecting Device Manager.

  • Find the device and model you want to update in the device list.

  • Double-click on it to open the Properties dialog box.

  • From the Properties dialog box, select the Driver tab.

  • Click the Update Driver button, then follow the instructions.

Very important: You must reboot your system to ensure that any driver updates have taken effect.
